Hiermit weisen wir Sie ausdrücklich darauf hin Ihre Zugangsdaten geheim zu halten, da Sie ansonsten bei missbräuchlicher Verwendung für dabei entstehende Schäden haften. Die Internetseite ermöglicht es Ihnen rechtlich bindende Kaufangebote auf Fahrzeuge aus dem Bestand der VR-LEASING AG online abzugeben. Mit dem Absenden eines Gebotes auf ein Objekt erklären Sie sich bereit das Objekt für den von Ihnen angebotenen Preis zu kaufen, vorrausgesetzt die VR LEASING AG ist mit Ihrem Gebot einverstanden und willigt zum Kauf ein. Ein Kaufvertrag kommt zustande, wenn/sobald die VR LEASING AG Ihr Gebot durch eine explizite Kaufvertragsbestätigung im Anschluss bestätigt. 3. Mündliche und schriftliche Angaben auf vbli.motrada.net über Maße, Gewichte, Kraftstoffverbrauch, Baujahr usw. sowie über Dauer und Maß der Benutzung sind unverbindlich und nur als annähernd zu betrachten. Eine Haftung für Irrtümer bei der Beschreibung der Fahrzeuge und deren Spezifikation auf der Webseite wird ausgeschlossen. Alle Angaben werden unter dem Vorbehalt des Irrtums angegeben. 4. Die Gefahr des zufälligen Unterganges oder der Verschlechterung des Fahrzeugs geht mit dem Wirksamwerden des Kaufvertrages auf den Käufer über. Der Käufer wird das Fahrzeug vollständig und sachgemäß mit allen verkauften Zubehörteilen von dem umseitig genannten Standort (Siemensstr. 6/6a, D-63329 Egelsbach) abholen und sorgfältig darauf achten, dass das Eigentum der VR-LEASING AG, im Folgenden Verkäuferin genannt, und Dritter dabei nicht beschädigt wird. Der Käufer stellt die Verkäuferin von sämtlichen berechtigten Ansprüchen Dritter vollumfänglich frei, die diese im Zusammenhang mit einer nicht vollständigen oder nicht sachgemäßen Entfernung des Fahrzeugs oder infolge von Beschädigungen gegen die Verkäuferin etwa erheben sollten. 5. Die Haftung für Sachmängel ist im Hinblick darauf, dass das Fahrzeug gebraucht ist, ausgeschlossen. Ist der Käufer Verbraucher im Sinne von § 13 des Bürgerlichen Gesetzbuches (BGB) wird die Haftung der Verkäuferin für Sachmängel unter Ausschluss des Nachlieferungsrechtes auf ein Jahr beschränkt. Die Verkäuferin hat bei Vorliegen eines Sachmangels zunächst das Recht zur Nachbesserung. Ist die Nachbesserung fehlgeschlagen oder für den Käufer unzumutbar, kann der Käufer nach seiner Wahl vom Kaufvertrag zurücktreten, Herabsetzung des Kaufpreises (Minderung), Schadensersatz wegen Nichterfüllung oder Ersatz seiner vergeblichen Aufwendungen verlangen. Fehlgeschlagen ist die Nachbesserung in der Regel erst dann, wenn der Sachmangel auch nach einer zweiten Nachbesserung nicht behoben ist. Der Käufer ist ohne Zustimmung der Verkäuferin nicht berechtigt, die Nachbesserung selbst vorzunehmen oder vornehmen zu lassen. Eine Beschränkung der Haftung erfolgt nicht, wenn der Sachmangel auf Vorsatz oder grobe Fahrlässigkeit der Verkäuferin zurückzuführen ist. 6. Der Kaufpreis ist sofort, spätestens zum im Vertrag angegebenen Übernahmedatum zahlbar. Die Aufrechnung des Käufers mit Gegenforderungen, die nicht unbestritten oder nicht rechtskräftig festgestellt sind, ist unzulässig. Die Geltendmachung von Zurückbehaltungsrechten des Käufers ist ausgeschlossen. 7. Das Fahrzeug bleibt, bis zur vollständigen Zahlung des Kaufpreises und der Erfüllung sonstiger sich aus dem Vertrag ergebender Forderungen, im Eigentum der Verkäuferin. Bis zur vollständigen Begleichung ihrer gesamten Forderungen gegen den Käufer, verbleibt die Zulassungsbescheinigung Teil II (Kfz-Brief) im Besitz der Verkäuferin. Kosten für vereinbarte Nebenleistungen und von der Verkäuferin vereinbarungsgemäß verauslagte sonstige Kosten gehen, soweit nichts anderes geregelt ist, zu Lasten des Käufers. 8. Kommt der Käufer mit den vereinbarten Zahlungen in Verzug, ist die Verkäuferin berechtigt, vom Tage der Fälligkeit an, Verzugszinsen in Höhe von 5 % p.a. über dem jeweils gültigen Hauptrefinanzierungszinssatz der Europäischen Zentralbank geltend zu machen. Das Geltendmachen eines darüber hinausgehenden Schadens bleibt ausdrücklich vorbehalten. Gerät der Käufer bei vereinbarter Ratenzahlung bezüglich des Kaufpreises mit einer der geschuldeten Zahlungen ganz oder teilweise mehr als 30 Tage in Rückstand, werden sämtliche aus dem Vertrag bestehenden Forderungen, insbesondere der geschuldete Kaufpreis, auf einmal fällig. 9. Dem Käufer ist es untersagt, vor Erlangung des Eigentums über das Fahrzeug zu verfügen. Etwaige Ansprüche gegen Dritte aus einer dennoch vorgenommenen Verfügung tritt der Käufer schon hiermit an die dies hiermit annehmende Verkäuferin ab. 10. Der Käufer ist verpflichtet, die Verkäuferin bei drohenden Zugriffen Dritter auf das Eigentum der Verkäuferin zu unterrichten und sie in jeder Weise zur Aufrechterhaltung ihrer Rechte zu unterstützen. Bei Vollstreckungshandlungen ist vom Käufer darauf hinzuweisen, dass die Gegenstände unter Eigentumsvorbehalt der Verkäuferin stehen. 11. Etwaige Rechnungsbeanstandungen müssen innerhalb einer Ausschlussfrist von 2 Monaten nach dem Ausstellungstag der Rechnung erhoben werden. 12. Mündliche Nebenabsprachen sind nicht getroffen. Änderungen oder Ergänzungen dieses Vertrages bedürfen der Schriftform. Die Aufhebung dieser Schriftformklausel bedarf ebenfalls der Schriftform. 13. Für sämtliche gegenwärtigen und zukünftigen Ansprüche aus der Geschäftsverbindung einschließlich Wechsel- und Scheckforderungen ist ausschließlicher Gerichtsstand Frankfurt am Main oder Berlin nach Wahl des Klägers, wenn der Käufer Vollkaufmann ist oder juristische Person des öffentlichen Rechts oder Träger eines öffentlichrechtlichen Sondervermögens. Der gleiche Gerichtsstand gilt, wenn der Käufer keinen allgemeinen Gerichtsstand im Inland hat, nach Vertragsschluss seinen Wohnsitz oder gewöhnlichen Aufenthaltsort aus dem Inland verlegt oder sein Wohnsitz oder gewöhnlicher Aufenthaltsort zum Zeitpunkt der Klageerhebung nicht bekannt ist. 14. Sollte eine der vorstehenden Bedingungen rechtsunwirksam sein oder werden, berührt dies nicht die Gültigkeit der übrigen Bedingungen. Die unwirksame Bedingung ist durch entsprechende Vereinbarungen zu ersetzen, die dem wirtschaftlich erstrebten Ziel rechtswirksam am nächsten kommen. _______________________________________________________________________________________________________________________________ Allgemeine Angebots- und Verkaufsbedingungen für den Erwerb von Fahrzeugen der VB Leasing Finanzierungsgesellschaft m.b.H, der Leasing West GmbH & Co KG sowie der Leasing west GmbH1.Sämtliche zur Verwertung stehenden Fahrzeuge stehen im uneingeschränkten Eigentum der VB Leasing Finanzierungsgesellschaft m.b.H. bzw. der Leasing West GmbH & Co KG oder Leasing-west GmbH (im folgenden Verkäuferfirmen genannt). Bei diesen Fahrzeugen handelt es sich entweder um Einzugsfahrzeuge oder Rückläufer aus Finanzierungen bzw. um Fahrzeuge aus dem Eigenfuhrpark dieser Verkäuferfirmen. 2.Der Verkauf erfolgt in dem Zustand, in dem sich die Fahrzeuge im Zeitpunkt der Rückstellung an die Verkäuferfirmen befinden. Diese sind daher unrepariert und unaufbereitet. 3.Soweit nichts anderes angegeben ist, erfolgt der Verkauf ab Standort, unter Ausschluss jeglicher Gewährleistung und unter Vereinbarung des Eigentumsvorbehaltes. Der Bieter erklärt im Falle des Zuschlages auf jegliche Anfechtung des Rechtsgeschäftes zu verzichten. 4. Die Ausfolgung des Typenscheines/Fahrzeugbriefes und des Fahrzeuges erfolgt ausnahmslos erst nach vollständiger Bezahlung des Kaufpreises. 5.Verbraucher im Sinne des KSchG sind vom Kreis der Bieter aus gewährleistungsrechtlichen Gründen grundsätzlich ausgeschlossen. 6.Die Verkäuferfirmen verfügen, sofern nicht anders angegeben, bei jedem angebotenen Fahrzeug über ein detailliertes Schätzgutachten eines gerichtlich beeideten Sachverständigen für das Kraftfahrzeugwesen, welches im Auftrag der Verkäuferfirmen erstellt wird. Der Sachverständige ermittelt dabei den Wert der Fahrzeuge – sofern im Gutachten nichts anderes angegeben - im Wege der Besichtigung ohne Probefahrt, technische Überprüfung oder Zerlegungsarbeiten. Die Angaben auf der Verwertungsplattform und/oder dieses Gutachten bilden die Grundlage für das Angebot. Die Gutachten sowie Bilder vom den Fahrzeugen werden den Bietern über die Verwertungsplattform zum Download zur Verfügung gestellt. Darüber hinausgehende Angaben und Zusicherungen über Eigenschaften des Fahrzeuges werden nicht gemacht. Für den Fall, dass die Angaben auf der Plattform und im Gutachten differieren, gelten ausschließlich die Angaben im Gutachten. 7.Sollten entgegen der Regel ergänzende Auskünfte und Zusicherungen zu Kaufgegenständen oder zu den Verkaufsabläufen von Mitarbeitern der Verkäuferfirmen getätigt werden, sind diese nur dann verbindlich, wenn diese schriftlich erteilt werden. 8.Zur Angebotsabgabe sind alle auf der Verwertungsplattform registrierten und von den Verkäuferfirmen akzeptierten Bieter berechtigt. Grundsätzlich finden nur Angebote welche über die Verwertungsplattform einlangen Berücksichtigung. Darüberhinaus steht es den Verkäuferfirmen im Einzelfall jedoch frei, auch andere Bieter zur Angebotsabgabe zuzulassen oder andere Formen der Anbotsabgabe außerhalb der Verwertungsplattform zu akzeptieren. Die Entscheidung darüber liegt ausschließlich bei den Verkäuferfirmen. 9.Der Bieter erklärt durch Anbotsabgabe auf der Verwertungsplattform ausdrücklich in Kenntnis des Schätzgutachtens zu sein und/oder das Fahrzeug besichtigt zu haben bzw. auf die Besichtigung zu verzichten, sowie diese Angebots- und Verkaufsbedingungen vollinhaltlich zu akzeptieren. Eine Angebotsabgabe ist rechtsverbindlich und bindet den Bieter auch über das Ende einer Auktion bzw. eines offenen Angebots über weitere 3 Wochen. 10.Eine Auktion wird durch Ablauf der vorgesehenen Zeit beendet. Der Bieter, der vor dem Ablauf der Auktion den höchsten Kaufpreis über dem angegebenen Startpreis geboten hat, bekommt den "Zuschlag", wodurch der Kaufvertrag zwischen den Verkäuferfirmen und dem so bestimmten Käufer wirksam zustande kommt. Der Inhalt dieses Kaufvertrages wird durch das Angebot, den gebotenen Kaufpreis und diesen Angebot- und Verkaufsbedingungen bestimmt. Sollte kein Angebot den Startpreis erreichen, ist der Bieter dennoch an sein Angebot für weitere 3 Wochen gebunden und steht es den Verkäuferfirmen frei innerhalb dieser Frist solche Angebote jederzeit anzunehmen. 11.Im Falle des freien Bieterverfahrens (offenes Angebot) erfolgt der Zuschlag nach freiem Ermessen der Verkäuferfirmen, wobei die Annahme des Kaufanbots ausschließlich durch schriftliche Zusage oder Übersendung des Kaufvertrages erfolgt. Einen Rechtsanspruch auf Annahme hat der Bieter daher nicht. 12.Gebote unter dem Startpreis sind jederzeit möglich, die Verkäuferfirmen sind aber in keinem Verkaufsverfahren verpflichtet solche Angebote anzunehmen. 13.Aus organisatorischen Gründen können während der offen Angebots- oder Auktionsfrist keine über die in der Plattform angegebenen Angaben hinaus gehende Auskünfte, insbesondere über bereits abgegebene Angebote gegeben, werden. Angebote, die nach dem angegebenen Anbotsschluss eingehen können, müssen aber nicht mehr berücksichtigt werden. 14.Der Bieter verpflichtet sich nach Erteilung des Zuschlags die entsprechend übermittelten Kaufverträge innerhalb von 5 Werktagen unterfertigt rückzumitteln, innerhalb derselben First den Kaufpreis zu Anweisung zu bringen sowie das so erworbene Fahrzeug vom angegebenen Standort abzuholen. Der Samstag gilt nicht als Werktag. Die Verkäuferfirmen sind berechtigt Standgebühren, die aufgrund der Versäumung der Abholfrist anfallen ab dem sechsten Werktag nach Zuschlag zu verrechnen. Ebenso gelangen Verzugszinsen bei Zahlungsverzug ab dem sechsten Werktag ab Zuschlag in der Höhe von 1,2% p.m. zur Verrechnung. 15.Die Preis-, Sach- und Leistungsgefahr geht von den Verkäuferfirmen im Zeitpunkt des Zuschlages auf den Bieter/Käufer über. 16.Jeder an dieser Verwertungsplattform teilnehmende Bieter erklärt sich bereit für/gegenüber die/den Verkäuferfirmen a. bei Bedarf Einlieferungs-/Einzugsfahrzeuge zu übernehmen und für die Dauer des Verwertungsverfahrens, höchstens jedoch für 4 Wochen ohne Verrechnung von Standgebühren oder sonstiger Kosten zu verwahren. b. sicher zu stellen, dass eingestellte Fahrzeuge ohne ausdrückliche schriftliche Zustimmung der Verkäuferfirmen nicht ausgefolgt werden, c. zur Bereitstellung des ordentlichen Zugangs für Sachverständige inkl. eventuell erforderlicher einfacher Außenwäsche bzw. zum Befreien von Eis und Schnee im Winter. d. auf die Geltendmachung von Zurückbehaltungsrechten, aus welchem Rechtsgrund auch immer, zu verzichten. 17.Mit der Registrierung und Freischaltung auf der Verwertungsplattform der Verkäuferfirmen erhält der Verwertungspartner auch die Möglichkeit, auf Verwertungsangebote anderer Landesgesellschaften (Gesellschaften die Fahrzeuge auf der VB Leasing Plattform anbieten) zu bieten. Für den Inhalt dieser Angebote sind die Verkäuferfirmen nicht verantwortlich. Die Verantwortung für solche Angebote liegt ausschließlich bei der jeweiligen Landesgesellschaft und übernehmen die Verkäuferfirmen hierfür auch keinerlei Verpflichtung oder Support. Mit der Abgabe eines Angebots auf ein Angebot einer Landesgesellschaft akzeptiert der Interessent die jeweiligen von der Landesgesellschaft auf Ihrer Plattform verlautbarten Angebots- und Verkaufsbedingungen in der jeweils gültigen Fassung. ________________________________________________________________________________________________________________________________ General terms and conditions of bidding for used items financed by VB Leasing CZ, spol. s r.o.These general terms and conditions of bidding for used items financed by company VB Leasing CZ, spol. s r.o. (hereinafter referred to as „GT“) govern the conditions and procedures for placing bids by individual bidders interested in entering into sale agreements for the sale and purchase of items which were originally financed by company VB Leasing CZ, spol. s r.o. and then repossessed from their users because of a breach of financial services agreements (e.g. finance lease, special purpose loan, operating lease, hire purchase etc.); bidding takes place via the internet application www.vbleasing.cz (hereinafter referred to as „ the application“) operated and utilized by company VB Leasing CZ, spol. s r.o., headquartered at Brno, Heršpická 813/5, PSČ: 639 00, IČ: 60751606, DIČ: CZ60751606, registered with the Commercial Register at the Regional Court in Brno, listed under Section C, Insert 19305 (hereinafter referred to as „the operator“). 1. Registration 1.1. Only bidders who have been successfully registered in accordance with the GT and the instructions and procedures of the Internet application, have the right to participate in the individual ways of offering and placing bids and use the services of the application to the full extent. 1.2. An applicant seeking to use the application to the full extent undertakes to complete all the “Registration“ boxes marked as mandatory, i.e. basic data about the applicant's business, the person authorized to log into the application and place bids on behalf of the applicant, the person authorized to act on behalf of the applicant; and undertakes to get fully acquainted with and accept the GT. By having completed the registration, the applicant has logged into the application and accepted the GT. The applicant is responsible for the accuracy of all data entered in the registration form. The applicant is also responsible for the confidentiality of his chosen logon name and password and for protecting them from being disclosed to third parties. Should there be a suspicion that a third party knows the logon name or password, the applicant shall forthwith notify the operator, and the applicant, or approved user, shall change his password in the application forthwith. Logon name or password misuse or abuse is always the responsibility of the applicant or approved user. 1.3. The operator will verify the data entered by the applicant in the registration form. The operator reserves the right to reject a particular applicant as an application user without giving any reason, irrespective of the accuracy of the data entered by the applicant in the registration form, or the operator has the right to set other conditions for accepting applicants. The applicant has no legal right to have his registration accepted. The operator will notify the applicant of the result of verification, and acceptance by e-mail. In the event the applicant has been accepted as a new user, he may log on under the logon name and password that he chose in the registration process, immediately after receiving acceptance notification. Hereinafter in the GT, a new application user accepted by the operator is also referred to as only „user“. After having his registration accepted, the user is entitled to choose other logon names and passwords, up to a number to be set by the operator. 1.4. The operator mainly accepts as users entrepreneurial entities whose business activities include purchasing and selling used vehicles or technologies or machinery. Should any of the applicant's licences for his business activities cease to exist or should any of his business activities be suspended, the applicant shall forthwith notify the operator thereof, in writing. 1.5. The operator has the right to revoke the user's registration or temporarily or permanently restrict the user's right to place bids if the user breaches any of his obligations under the GT or any of his obligations under a sale agreement which will be entered into under the provisions of Articles 7 and 8 of the GT, or if any of the applicant's licences for his business activities ceases to exist or any of his business activities is suspended or if the user fails to participate in some of the ways of offering and placing bids. Such revocation or restriction of the user's right to place bids shall not apply to deals the user has already concluded in the application, nor bids he has already placed; the user shall continue to meet his obligations under the GT. Besides, the operator reserves the right to expel the user from the ways of offering and placing bids that are already under way in the application. 2. Items for sale 2.1. Users place their bids indicating their wills to enter into sale agreements to purchase items which the operator originally financed and then has taken away from its clients the right to use such items and repossessed them because of a so-called total loss and because the insurance compensation was not paid by the insurer in full, or because of a breach of obligations under financial services agreements (e.g. finance lease, special purpose loan, operating lease, hire purchase etc.), or under the provisions of agreements securing the commitments arising from such financial services agreements (e.g. a security transfer of title agreement). 2.2. The operator has the right to sell the items as their owner, or on the grounds of a security transfer of title to such items. 2.3. Items to be sold can especially include vehicles, machinery, technologies and other kinds of equipment. The description of each item, its condition, possible defects and damage, place of storage, photos, financial and price terms, and further information is published by the operator next to the particular item in the application. Pictures, descriptions and estimates published in the application by the operator are solely for information purposes and are not a conclusive source of information for determining the actual condition or technical description of an item to be sold. The only source of information as to the actual condition of an item, its designation, properties, possible defects or damage and description is exclusively a (physical) visual examination in the place where such item is stored, made by the user in person before entering his bid for such item. The operator is not liable for conclusions users make based on the visual materials and information published in the application, which could differ from the actual condition of such item, and therefore the user shall not be entitled to make any claims on the operator, particularly any claims for compensation for damage, or to withdraw from the sale agreement or to not pay the sale price or to demand a reduction in the item's sale price. 2.4. The operator will permit each user, at the user's expense, to get acquainted with the specifications, all properties, technical condition, possible defects and damage, and the appearance of the item, in the place where the item is stored, and check the information about the items to be sold, which is published in the application by the operator. The fact that the user has failed to get acquainted with the specifications, all properties, technical condition, possible defects and damage, or the appearance of the items shall not entitle the user to make any claims on the operator, to withdraw from the sale agreement or to not pay the sale price or to demand a reduction in the item's sale price. By entering his bid in one of the ways of offering and placing bids, the user fully accepts the specifications, all properties, the technical condition, possible defects and damage, and the appearance of the item for which he entered his bid, and the user also acknowledges the accord between the description of such item published in the application by the operator, and its actual condition. 2.5. It is understood from the facts stated in the foregoing sections, particularly section 2.1, that the items to be sold will always be used items, and that is why the operator will not be liable to the users for any defects in the items after their sale, nor will the operator provide any warranty on such items, and the users as buyers buy individual items on an „as is“ basis. The sale price of an item reached in one of the ways of offering and placing bids represents the item's price in the relevant market and reflects just such condition of the item in which such item actually exists. 3. Ways of offering and placing bids by users 3.1 Ways in which users enter their bids, thus expressing their wills to enter into a sale agreement for items to be sold in the application, are “Auction“, “Buy Immediately“, and “Open Bidding“. 4. Auction 4.1. In the auction of an item to be sold, the operator will also announce in the application a starting bid price of such item, the length of auction, and a minimum bid increment. In the event that one of the users has already entered his bid for an item, the application will also display the current price of such item. 4.2. Participation in the auction is possible solely by the user logging in the application and entering his bid. The user is entitled to enter a lower bid than the starting bid. The user will enter his highest bid price that he is willing to pay for a particular item at the particular moment. The “Auction“ application works as a so-called auction agent, which means that only the bidding user knows how high a bid he has entered; the user's current bid will always be higher than the highest competitive bid by another user, by a minimum increment, and the user's current bid will always be automatically increased if the competitive bid is increased, until the user's current bid has reached his entered highest bid price which he is willing to pay for the particular item at the particular moment. 4.3. In the event that the highest bid price which the user is willing to pay for a particular item is lower than the competitive highest bid price entered by another user, the user with the lower bid will forthwith be informed thereof, in the application itself or alternatively by e-mail. 4.4. Any user who has participated in the auction of a particular item and has been instructed to do so by the operator shall have the obligation to enter into a sale agreement for the same item. The operator has the obligation to instruct to enter into a sale agreement the user whose bid was the highest at the end of the auction provided that such highest bid at least equals the starting bid for the same item. Should the user with the highest bid default on his obligation to enter into a sale agreement for the item, the operator has the right to instruct to enter into a sale agreement any user who has participated in the auction of the same item irrespective of the amount of such user's bid, or to declare the auction unsuccessful. The operator has the right to repeatedly instruct to enter into a sale agreement any user who has participated in the auction of the same item without the operator's right to declare the auction unsuccessful being affected. 5. Buy immediately 5.1. “Buy immediately“ takes place exclusively as part of an auction, in which case, besides the data mentioned in section 4.1 of the GT, the operator will also announce the price at which such item may be bought immediately. 5.2. Participation in “Buy immediately“ is solely possible by the user logging into the application and expressing his readiness to buy an item for the price set by the operator, at which such item may be bought immediately. “Auction“ as well as “Buy immediately“ are terminated by the first user declaring such readiness. The obligation to enter into a sale agreement for such item arises on the part of the first user who declares his readiness to buy such item at the price that the operator set as the price at which such item may be bought immediately. The operator has the obligation to instruct such user to enter into a sale agreement. 5.3. In the event any user enters in the auction his bid price higher than the item's starting bid and does so before any other user has declared his readiness under section 5.2 of the GT, then “Buy immediately“ terminates and such user shall have the obligation to enter into a sale agreement for the same item, at his entered price, which is higher than the item's starting bid price. 6. Open bidding 6.1. For “Open bidding“ for an item, the operator will also announce in the application the item's starting bid price, the period during which bids may be entered, and a minimum bid increment. The announced starting bid price and minimum bid increment are only recommendations to users. 6.2. Participation in “Open bidding“ is solely possible by the user logging into the application and entering his bid price at which he is willing to purchase a particular item. The user has the right to enter a lower bid than the starting bid. 6.3. The obligation to enter into a sale agreement for an item arises on the part of the user who participated in the “Open bidding“ for such item and was instructed by the operator to enter into a sale agreement. The operator has the right to instruct to enter into a sale agreement any user who who participated in the “Open bidding“ for such item irrespective of the amount of such user's bid price, or to declare the “Open bidding“ unsuccessful. The operator has the right to repeatedly instruct to enter into a sale agreement any user who has participated in “Open bidding“ of the same item without the operator's right to declare the “Open bidding“ unsuccessful being affected. 7. Agreement to enter into a sale agreement 7.1. The user who has been instructed by the operator to enter into a sale agreement for an item under the provisions of Articles 4 to 6 of the GT has the obligation to enter with the operator as the seller or an entity authorized to sell such item, into a written sale agreement whose contents are governed by Article 8 of the GT, within five days after the delivery of the operator's written instruction to the user to enter into such agreement. The delivery of a proposal of such sale agreement to the user shall also be deemed to be the operator's written instruction to enter into a sale agreement. Sending it to the user's address by fax or electronic mail (e-mail) shall also be deemed to be a delivery. Unless the user and the operator agree otherwise, the operator has the right to revoke its proposal to enter into such sale agrement unless such sale agreement has been delivered in writing to the operator' headquarters within eight days after the delivery of its proposal to the user. 7.2. The user's obligation to enter with the operator into a sale agreement will terminate in the event that within the deadline for entering into such sale agreement under section 7.1 of the GT, the user has entered with the operator into a written lease agreement for financing the item which was to be the subject of the sale agreement under section 7.1. However, the operator has no obligation to enter into such lease agreement. 8. Sale agreement contents 8.1. The written sale agreement into which the operator as the seller or an entity authorized to sell such item, enters with the user as the buyer, in respect of the item for which the user placed his bid pursuant to the provisions of Articles 4 to 6 of the GT, will contain the stipulations and facts pursuant to the following sections of this Article. 8.2. The item to be sold will be the item for which the user placed his bid price pursuant to the provisions of Articles 4 to 6 of the GT with the sale agreement containing the item's more detailed specifications. 8.3. The operator will declare that it is entitled to sell the item, or will state on what legal grounds the operator is selling it. 8.4. The item's sale price less VAT will amount to the user's (buyer's) bid price which was arrived at in one of the way of placing bids by users who thereby expressed their wills to enter into sale agreements under the provision of Articles 3 to 6 of the GT. The user (buyer) shall pay the sale price by the date of the item's handover to the user as the buyer, at the latest. The sale price shall be deemed to have been paid when it has been credited to the operator's account. 8.5. The item's takeover and handover will take place immediately after the sale price has been paid by the user (buyer) in full; it will take place in the delivery place, which is a place specified by the operator in the application for a particular item as the item's current place of storage. Should the user (buyer) require that the item be delivered to another place, the user shall arrange for the item to be delivered to the user's (buyer's) chosen place and bear the cost of such transport and insurance. Should the buyer be an entity whose headquarters, place of business or domicile is located outside the Czech Republic, then all acts connected with the sale of an item abroad (particularly duties and similar fees and charges, if any, shall be performed by the buyer, at his expense. 8.6. The user (buyer) will declare that he is acquainted with the item's technical condition and all its defects, is aware of the fact that the sale price reflects just such condition of the item, and that is why the user (buyer) buys the item on an „as is“ basis, with the operator having no liability for any of the item's defects or providing any warranty in respect of quality. 8.7. The user (buyer) shall only acquire title to the item by crediting the sale price to the operator's account in full. Risk of damage to the item shall pass to the user (buyer) on his takeover of the item. 8.8. The contract parties will agree that in the event of disputes arising between them out of the legal relations established by this agreement or disputes arising in connection herewith, such disputes shall be resolved pursuant to valid legislation of the Czech Republic by arbitration, by a sole arbitrator in accordance with Act No. 216/1994 Sb., pursuant to the Arbitration Code and the Arbitration Fees Code issued by the Association of Arbitrators, s.r.o., based at Příkop 8, Brno (the IBC complex) PSČ 604 10, IČ: 63 49 66 58 (corporate ID); valid versions of the said Codes are available on the Internet site of the Association of Arbitrators at http://www.sdruzenirozhodcu.cz. The costs of arbitration proceedings will also include the arbitrator’s remuneration amounting to 2% of the disputed value in the case of disputes over financial matters, CZK 2,500 at least and CZK 20,000 at the most, however, and CZK 2,500 in the case of disputes whose subject-matter cannot be valued. No arbitration hearing needs to be held if it is obvious from the documents submitted by the parties that such a hearing is not necessary. The decision as to whether a hearing will be held shall be made by the arbitrator. The arbitration judgement will be final and binding on both contract parties. 8.9. The contract parties have agreed that pursuant to the provision of § 262 of the Commercial Code, the contractual relation established between them by a sale agreement shall be governed by the Commercial Code. Should the buyer be an entity whose headquarters, place of business or domicile is located outside the Czech Republic, such sale agreement shall be governed by Czech law. 9. Final provisions 9.1. Legal relations of the operator, an applicant and a user which are not expressly dealt with in the GT are governed by the relevant provisions of Czech law, particularly the Commercial Code. Pursuant to the provision of § 262 of the Commercial Code, this shall also apply in the event that an applicant or user is not an entrepreneurial entity. 9.2. The user has the obligation to forthwith notify the operator in writing of a change of his domicile, place of business or official head office, phone number, fax number, e-mail address as well as any other data about his business which the user stated in the Registration form, except for a change of the access data. The nullity of individual provisions of the GT shall not result in the nullity of the GT as a whole. 9.3. Both applicants and users agree that all data that they furnish in connection with their registrations may be provided by the operator to companies VB-Leasing International Holding GmbH headquartered at Kolingasse 12, A-1090 Vienna, and Motrada Handels GmbH, headquartered at Mariahilfer Straße 82 1070 Vienna, who are the provider and administrator of the application, as well as entities related personally or through property interests to the operator, or to the operator's partners. 9.4. All written documents or e-mail communications sent by the operator pursuant to or in connection with the GT shall be sent by the operator to the applicant's or user's address stated in the Registration form, or to an address of which the applicant or user have notified the operator in writing. A written document sent in another way than e-mail is delivered on the day the applicant or user takes it over or on the day the post office returns such written document to the operator because the applicant or user has failed to take it over within the deadline for its takeover or because the applicant or user is not domiciled or headquartered at the delivery address stated on the written document (or the user is not known at the address he furnished). A written document will also be deemed to have been delivered in if the applicant or user has refused to take such written document over. Written documents or e-mail messages sent by electronic mail will be deemed to have been delivered on the day that they are sent to the applicant's or user's e-mail address stated in the Registration form, or e-mail address of which the applicant or user have notified the operator in writing. 9.5. The contract parties have agreed that the operator has the right to change the wording of the GT at any time with such GT becoming binding on the user the moment such new GT have been delivered to the user by electronic or other mail. Such new GT shall apply to those ways of placing bids in the application in which the user participates after the delivery of the new GT. Should the user not agree with the new GT, he has the right to request the operator to cancel his registration completely. The user's participarion in any of the ways of placing bids after the delivery of the new GT shall be deemed to be the user's unconditional acceptance of the same new GT. 9.6. In the event that any of the items to be sold has a different owner than the operator, the user shall get acquainted with the auction rules, general terms or other similar documents prescribed by the item's owner, before the user enters his bid price. The user's participation in any of the ways of bidding for an item which is not owned by the operator, shall be deemed to be the user's unconditional acceptance of the auction rules, general terms or other similar documents prescribed by the item's owner. 9.7. By duly completing the mandatory boxes on the Registration form, the applicant, or user, declares that he has got acquainted with all terms and conditions of his registration in the application properly, read the GT thoroughly and agrees with the entire wording of the GT, accepts it without reservation, and undertakes to abide by all provisions of the GT. ________________________________________________________________________________________________________________________________ General Terms and Conditions for sale of movable property financed by VBS LEASING d.o.o.General Terms and Conditions for sale of movable property financed by VBS LEASING d.o.o. (hereinafter referred to as: GTC) govern the terms and conditions of the use of web auction of used movable property organised by VBS Leasing d.o.o., Dunajska 128a, 1000 Ljubljana. GTC set out types of auctions, time of entering into and the contents of the used movable property purchase agreement, financed by VBS Leasing d.o.o (hereinafter referred to as: VBS Leasing or „Operator“). For the purposes of these GTC, if it is not set out hereinafter, it shall be deemed that VBS Leasing is the owner and seller of the moveable property and operator of the Application intended for the sale of the used moveable property. 1.Registration 1.1.Only those interested persons who have successfully registered in accordance with the provisions of the GTC and followed the individual steps and procedures found in the internet Application may bid, participate in individual forms of purchases and utilize the Application's service in full. 1.2.A person interested in utilizing the Application in full shall undertake to fill in all fields under the link titled “Registration” which are marked as mandatory. Basic information is the information about the interested person’s business and information about the person acting on behalf of the interested person, to complete the application and enter bids. By registering the interested person confirms that he/she has read the GTC in their entirety and fully accepts them. The interested person undertakes to print the completely filled in registration form and the GTC, signed by the authorized person, and send them together with a copy of the personal document of the authorized person by Fax to ++386 (0)1 563 44 33, as well as by regular mail to the address of the operator. The interested person is responsible for the accuracy of all details entered in the registration form and bears all the costs of registration to the internet Application. 1.3.The interested person shall choose a password with which he/she enters to the internet Application. The interested person or the User undertakes to keep the user name and password confidential and shall disclose them to any third person. The interested person or the User him/herself is responsible for safe storage and keeping the user name and password confidential. The interested person or the User undertakes to do everything in his/her power for restricting third persons from accessing the internet application under his/her user name and password. If suspicion arises that a third person is in possession of the user name or password, the Operator must be immediately informed thereof by the registered User or the interested person, and the password to the Application must be changed by the Operator. In case of any misuse or unauthorised use of the user name or password, the interested person or registered User shall be held liable for the damage caused. 1.4. The Operator shall review details the interested person entered in the registration form. The Operator reserves the right to refuse, without giving reason, and not accept any person as a user of the Application, regardless of the accuracy of details the interested person entered in the registration form. The operator can set out other additional terms and conditions for accepting the interested person. In case the Operator refuses to admit any interested person, this interested person shall not have, as a result of the refusal, any objection or any other legal claim against the Operator. The Operator, after having reviewed the application, shall notify by e-mail the interested person about its decision, if the interested person is accepted as a new user of the application to trade. If the interested person has been accepted as a new user, he/she may immediately, having been notified thereof, log in with the user name and password he/she selected during registration. Any new user the Operator accepts is hereinafter referred to as “the User”. The User, his/her registration having been accepted, shall be entitled in the Application to change his/her password. 1.5.The Operator primarily accepts as a user any business whose activities include, in particular, the purchase and sale of used vehicles and vessels, industrial or engineering construction or used vehicles and vessels or industrial or engineering construction repairs. If a user ceases to be licensed in any of the activities constituting its line of business, the User shall inform the Operator thereabout without delay. The Operator may accept as a user also companies or private entrepreneurs who need used vehicles, vessels, machinery or equipment for performing their activities. 1.6.The Operator is entitled to, without explanation, at any time cancel, revoke, temporarily or indefinitely restrict the User’s right to bid in the event when the User breaches any provision of the GTC or the User ceases to perform one of his/her activities or ceases to actively participate in one of the methods of placing bids or when judged so by the operator. Such exclusion of a User or any restriction of the User’s rights shall have no effect on any transactions the User has concluded through the Application and any bids he/she has already participated in or is still participating in. In such case the User shall comply with his/her duties according to the GTC. 2.Objects for sale 2.1.The users enter their bids as an expression of their true will to buy the used movable property the Operator as the bidder offered for sale through its internet Application. 2.2.The Operator is thereby entitled to resell the movable property as the owner thereof or by virtue of having exercised its security interest over such objects or by virtue of having exercised the enforcement of transfer of title to such objects. 2.3.The movable property for sale may be, in particular, vehicles, vessels, machinery, industrial or other equipment. A description of individual movable property, its condition, any possible faults, defects and/or damage thereto, place of storage, photographs thereof, financial and pricing terms and conditions and further information, where appropriate, shall be disclosed by the Operator in the Application for a specific object for sale. Photographs, descriptions and estimates disclosed by the Operator in the Application are solely a visual assessment and not a binding source for actually determining the condition or technical description of the object for sale. The only source of information about the actual condition of the object for sale, its markings, features, possible faults and defects and/or any damage thereto and description thereof is exclusively a personal, visual inspection at the place where the object for sale is stored, conducted by the participant therein before bidding on the object for sale. The Operator is not liable for any conclusions participants therein reach on the basis of the materials and information disclosed in the Application, which might possibly deviate from the actual condition of the object for sale. Therefore the User shall not be entitled to exercise any claims against the Operator, in particular, for indemnification, or to withdraw from the purchase agreement, not to pay the purchase price or to demand a reduction in the purchase price of the object for sale, if the actual condition of the object for sale is different from that stated in the internet Application. 2.4.The Operator shall allow each participant therein, at his/her own expense, to obtain an understanding of the place where the object for purchase is stored specifications all features, technical condition any possible faults, defects and damage thereto and also the appearance of the object for sale, and to verify information about the object for sale which the Operator has disclosed in the Application. Failure by participants therein to obtain an understanding of the specifications, all features, technical condition, any possible faults, defects and damage thereto, and appearance of the object for sale shall not be grounds for any claims by the participants therein against the Operator for prospective withdrawal from the purchase agreement, not to pay the purchase price or for demanding a reduction in the purchase price of the object for sale. A User bidding in any of the forms for expressing his/her will and any entered bids mean a participant therein accepts in full the specifications all features the technical condition any possible faults, defects and damages thereto and the appearance of the object for sale, in respect whereof the User has bid, and accordingly the User confirms that the description of the object for sale disclosed by the Operator in the Application conforms to its actual condition. 2.5.The facts presented in the preceding paragraphs, and in particular paragraph 2.1. of the GTC, imply that all objects for sale being sold are used. The Operator will therefore neither be liable, subsequent to the resale thereof, for any faults or defects in objects for sale nor will it provide any guarantee. Any purchasing participants will buy individual objects for sale as they are (as is). The purchase price of the object for sale ascertained in any of the formats for expressing and entering bids represents the price of the object for sale in the relevant market and takes into account the condition at that moment of the object for sale which the purpose of the agreement actually inheres. 3.Forms for participants to express and enter bids 3.1.The forms whereby users enter their bids in the Application as an expression of their will to conclude a purchase agreement regarding the purchase of objects for sale shall be “Auction”, “Buy Now” and “Open Bid”. Regardless of the form of the web auction the users shall enter their bids as an expression of their true will to enter into the purchase agreement for a specific moveable property, for sale in the Application. 4.Auction 4.1.The Operator, when auctioning the object for sale, accordingly discloses in the Application the auction price of the object for sale, the duration of the auction and the minimum overbid of the purchase price. The users’ bids will accordingly appear in the current Application of the specific movable property. 4.2.The User may participate in an auction solely by logging onto the Application and bidding the purchase price. The User is also entitled to bid a purchase price less than the auction price. The User bids the highest purchase price the User is willing to pay for the object for sale at the given moment. The Application operates the “Auction” form on the “auction agent” principle, which means only the user who has bid knows the value of his/her bid where the User’s current bid of the purchase price will at all times amount to the value of a minimum overbid which is the higher of the highest competing bid entered by another user. The User’s current bid of the purchase price automatically increases in the event of a higher competing bid until the moment when the User’s current bid of the purchase price is no longer less than or equal to the value of the highest purchase price the User is willing to pay for the specific object for sale at the given moment. 4.3.In the event a bid of the highest purchase price the User is willing to pay for a specific object for sale at the given moment is less than a competing bid of the highest purchase price entered by another user who is willing to pay for the specific object for sale at the given moment, the User, having the lower bid, will be immediately informed thereof either directly on the Application or, when necessary, by electronic mail. 4.4.Most favourable user (provider) is the one whose bid was the highest before the auction ended to conclude the purchase agreement, although provided that the highest bid is at least the auction price of the object for sale. The Operator shall notify the participant within 8 days at the latest on the completion of the auction of being selected and shall invoice him/her under the provisions of these GTC. From the moment of receipt of the notification on selection it shall be deemed the purchase agreement for a specific moveable property under the provisions of these GTC is entered into. 4.5.If the user, as the highest bidder, fails to pay the invoice in a timely fashion, the Operator may, under the provisions of Section 8 of these GTC withdraw from the agreement and select a participant at random – a user from the auction, irrespective of the amount of his/her bid, or may declare the auction to have been unsuccessful. 5.Immediate purchase (or buy now) 5.1.Immediate purchase exclusively runs as part of the auction, where the Operator, in such a case, accordingly discloses together with the data shown in paragraph 4.1. of the GTC the price whereat the object for sale can be immediately purchased. 5.2.The User may participate in “immediate purchase” solely by logging onto the Application and expressing his/her intention to purchase the object for sale at the price laid down by the Operator, whereat the object for sale can be purchased immediately. With such content of the first user the auction as well as the »immediate purchase« shall be concluded. The user sending the Operator the first bid enters into the purchase agreement with the Operator under the provisions of Section 8 of these GTC. The Operator shall notify the participant within 8 days at the latest on the completion of the immediate purchase of being selected and shall invoice him/her under the provisions of these GTC. 6.Open Bid 6.1.The Operator, in the case of an Open Bid of the object for sale, accordingly discloses in the Application the auction price of the object for sale, the duration wherein bids may be entered and the minimum overbid of the purchase price. The users shall themselves give binding offers to the Operator whereby the purchase price of the movable property is published as well as the minimum overbid are merely of informative nature for the user. 6.2.The User may participate in an Open Bid solely by logging onto the Application and bidding the purchase price whereat he/she is willing to purchase the object for sale. The User is also entitled to bid a purchase price less than the auction price. 6.3.The Operator shall be entitled to select any user voluntarily participating in the “Open Bid” regardless of the amount the user bids, or the Operator may declare the “Open Bid” to have been unsuccessful. The Operator shall notify the participant within 8 days at the latest on the completion of the “Open bid” of being selected and shall invoice him/her under the provisions of these GTC. From the moment of receipt of the notification on selection it shall be deemed the purchase agreement under the provisions of these GTC is entered into. 6.4.If the user, selected by the Operator, fails to pay the invoice in a timely fashion, the Operator may, under the provisions of Section 8 of these GTC withdraw from the agreement and select another participant at random – a user from the open auction, irrespective of the amount of his/her bid, or may declare the auction to have been unsuccessful. 7.Contract on a purchase agreement 7.1.It shall be deemed that the User, whom the Operator in accordance with provisions of Articles 4-6 of the GTC, has called upon to conclude a purchase agreement as the highest bidder, has, upon the receipt of the notification, been informed that he has already concluded the purchase agreement, the contents of which are set out in Article 8 of the GTC. A written notification, sent by fax or electronic mail to the User's address shall be deemed as the notification of the concluded purchase agreement. 8.Contents of the purchase agreement 8.1.The seller/operator shall be VBS Leasing d.o.o., Dunajska 128a, 1000 Ljubljana, entered into the court register on 23 April 1996, under the entry no. 1/27788/00, ID for VAT: SI16517636. 8.2.The buyer is a user whose information is evident from the information submitted during the registration in accordance with the provisions of Article 1 of the GTC. 8.3.The user and the Operator have, by entering into the purchase agreement in the manner set out in the Articles 4, 5 and 6 of the GTC, agreed on the agreement with the below stated contents. The object of the purchase agreement is set out in Chapter 2 of these GTC and represents movable property published in the internet Application, which the User could inspect and which is described in more detail in the invoice, which forms an integral part of the purchase agreement. 8.4.The purchase price of the object for sale, inclusive of or indicated VAT, will equal the User’s (Buyer’s) bid of the purchase price ascertained in any of the forms of the auction under the conditions set out in Articles 4, 5 and 6 of these GTC. The purchase price shall be paid by the User (Buyer) no later than within eight (8) business days upon receipt of the notification that he/she has been selected as the buyer of the movable property. The purchase price shall be regarded as being paid on the date when it is credited in full to the Operator’s bank account. 8.5.The due date for the payment of the purchase price is an essential component of the purchase agreement. The Operator may, without any further written warning, withdraw from the agreement on the first business day following the moment when the payment falls due. The purchase agreement shall be cancelled the moment the user receives the Operator's notification thereof. The Operator may immediately after the cancellation of the purchase agreement declare the auction (Articles from 4 to 6 of the GTC) to have been unsuccessful or may in accordance with the provisions of the GTC call upon the second highest bidder to enter into a purchase agreement with the operator. 8.6.In case the user fails to pay the purchased movable property within the agreed period and the Operator withdraws from the agreement, the Operator shall charge the user € 360 of the fixed contractual penalty. 8.7.The Operator expressly states that it is authorised to sell the movable property. 8.8.The take-over of the movable property shall be carried out immediately after the payment of the entire purchase price. The take over shall be carried out at the place, designated by the Operator, concerning this specific movable property in the Application and which is the current place of storage of movable property. The user shall bear all costs concerning the transport and handling of the movable properties as well as possible costs related to the sale and transport of movable properties abroad (in particular but not exclusively the costs of the forwarding agent, taxes, custom duties and costs of administrative procedures necessary for the takeover or the registration of the movable properties). The user assumes the risk of damages to movable properties at the place of takeover and in the premises where the movable property is physically located. 8.9.The user expressly states that when placing his offer he was acquainted with the technical condition of the movable property as well as all its defects and is aware of the fact that the purchase price reflects the actual condition of the movable property and conditions on the market. The Operator is not responsible for any factual defects of the movable property and does not guarantee the quality or the condition of the movable property. In case the movable property is still under any warranty by the manufacturer of the movable property, the Buyer shall have to negotiate a possible guarantee claim with the authorised representative or authorised dealer of the sold movable property. 8.10.The user shall obtain legal title to the movable property at the moment the operator's bank account is credited with the entire purchase price. At the moment of the payment of the purchase price all risks, including the risk of accidental destruction shall pass to the user, together with the costs associated with the sale of the movable property (taxes, storage costs, etc.). 8.11.The user may, during the time from the receipt of the notice of selection up until the payment of the invoice falls due, enter with the Operator into a leasing agreement, whereby the purchase of the lease of the property shall be the same as the purchase price in accordance with Article 8.4 of the GTC. The Operator shall not be under any obligation to enter into a leasing agreement with the user. With regards to GTCT it shall be deemed that by entering into a leasing agreement and payment of the first instalment of the lease (including the down payment and first regular instalment of the lease) the user paid the purchase price under the previsions of 8.5 of the GTC. After entering into the lease agreement and payment of the down payment and payment of the first regular instalment of the lease, the provisions of this new lease agreement shall, mutatis mutandis apply also to mutual rights and obligations of the contracting parties. 8.12.The contracting parties hereby agree that they shall try to resolve any disputes in an amicable manner, however, in case of a dispute it shall be resolved by the competent court of Ljubljana. The contracting parties also agree that the Slovene law shall apply (substantive and procedural law). 9.Closing provisions 9.1.The user shall immediately inform the Operator in writing of any change of the corporate registered office, business address, telephone or fax number or electronic mail as well as any change of any other contact information of the company which the Operator stated in the registration form, except the change of access password. The Operator may claim fixed contractual penalty in the amount of € 360 for breach of any of these obligations. 9.2.An interested person, as well as the User, agrees to allow the Operator to provide any and all information which has been provided, in respect of registration, to Motrada Handels GmbH, with its registered office at Mariahilfer Straße 82, 1070 Vienna, as the Application’s supplier and service manager, as well as the company which owns the Application and has either personal or capital ties to the Operator or the Operator’s shareholder. 9.3.Any and all written correspondence and e-mail messages to be sent by the Operator on the basis of, or in connection with, these GTC shall be sent by the Operator to the address or e-mail address of the interested person/User shown in the Registration Form or to the address which the interested person/User has indicated to the Operator in writing. Any written correspondence sent other than by electronic mail shall be regarded as having been delivered on the date it is sent by the interested person/User or on the date when the post office returns the written correspondence to the Operator because it was either not accepted by the interested person/User within the period for accepting it or because the interested person/User neither was residing nor had its business at the address shown on the posted written correspondence. Written correspondence and e-mail messages sent electronically shall be regarded as having been delivered at the moment when they are sent either to the e-mail address of the interested person/User shown on the Registration form or to the e-mail address the interested person/User indicated in writing to the Operator. 9.4.The Contracting Parties have agreed that the Operator shall be entitled at any time to amend the GTC, where the amended text becomes binding upon the User at the moment when the amended GTC is delivered to the User either electronically or through the post. The amended GTC is binding for the bidding forms in the Application wherein the User participates after the amended GTC has been delivered. In the event the User does not consent to the amended GTC, he/she shall be entitled to ask the Operator to have his/her registration cancelled in full. The User’s participation in a voluntary bidding form, once the amended GTC has been delivered, shall be regarded as having accepted the amended GTC without any reservations. 9.5.The Contracting Parties have agreed that any disputes which arise between them from the legal relationships based on the GTC or any relationships related to the GTC may be submitted for settlement to an arbitrator at the competent court in Ljubljana. The contracting parties also agree that Slovene law shall apply (substantive and procedural law). In potential disputes between the parties arising from the legal relationships or concerning these GTC, the Slovene version of GTC shall be taken into consideration. 9.6.If in connection with any of the movable properties stated in the internet Application, another offeror/Owner, other than the operator is stated, then the User shall get acquainted with their rules of placing bids, GTC the moment of entry into the purchase agreement, application of the law and similar documents set out by the owner of the property prior to placing of the bid. If the User participates in one of the forms of placing bids for the property the owner of which is another operator, he/she thereby accepts without reservations their rules on the manner of placing bids, GTC, application of the law, time and method of entering into the purchase agreement and similar documents as set out by the owner of the movable property. 9.7.The user whose bid has not been accepted or who has not been called upon as the highest bidder shall cover his/her own costs of placing bids and shall have no claim against the operator. 9.8.In case individual provisions of the GTC do not apply this does not affect the effectiveness of the GTC as a whole. 9.9.By signing the Registration Form, an interested person confirms that he/she has been properly acquainted with all the terms and conditions for being registered in the Application and that the interested person has read the GTC in full. The interested person, by signing the Registration Form, also agrees to the entire GTC, accepts them without any reservation and will comply with all provisions of the GTC. (hereinafter referred to as the „GT“) regulate the terms and the procedure for submission of individual interested parties' offers for conclusion of purchase contract for items originally financed by the company VB LEASING d.o. Submission of offers for used items should be carried out through internet application www.vbleasing.hr (hereinafter referred to as the „Application“) of the company VB LEASING d.o.o. having its registered seat in Zagreb, Horvatova 82, Reg. No.. 080216770, Tax No. 01354582, Personal Identification No. (OIB): 55525619967 (hereinafter referred to as the „Seller“). USER REGISTRATION 1.1 Only those interested parties that successfully register in compliance with the GT provisions and in line with the specific steps and procedures of the relevant Internet application, shall receive the authorization to submit their offer, participate in various bidding variants, and to use the full range of the application menu. 1.2 The party interested to use the application in its full scope commits to fill in all fields marked as mandatory under the link „Registration“, which are: basic information on the interested person's company, information on the person authorized on behalf of the interested party to register within the application and to submit the offer, information on the person authorized to represent the interested party, and confirmation that this person is familiar with the GT and has accepted them. Furthermore, the interested party is obliged to print fully completed registration request form (in accordance with this and with the previous paragraph) along with one copy of the GT, certify them with the seal and the signature of the person authorized to represent the interested party, and send them together with the copy of the Court or Trade Register Excerpt by telefax and then also by mail to Seller's address. The interested party is liable for the accuracy of all information listed in the registration request form. Moreover, the interested party is responsible for confidentiality of the selected user name and password, and for preventing access to third parties. The Seller should be immediately informed in case of doubt that a third party may be in possession of information on the user name or password, and the interested party i.e. the authorized user, is required to change the password in the application. Responsibility for misuse of the user name or password is always borne by interested party, that is, by the authorized user. 1.3 The Seller will check the data listed by the interested party in the registration form. The Seller withholds the right not to accept the interested party as the application user, without disclosing the reason and without taking into account the accuracy of the data listed by interested party in the registration form; as well as the right to set special conditions for acceptance of a certain user. The interested party's request for acceptance of his/her registration shall have no legal merit. The Seller shall inform the interested party of the result of checks and of eventual acceptance of his/her registration request by e-mail. Should the interested party be accepted as a new user, he/she may immediately upon receiving the notice thereof sign in by using the user name and the password listed in his/her registration request. The new application user that has been accepted by Seller shall hencetoforth be called "User". Once his/her registration request has been accepted, the User is authorized to choose additional user names and passwords up to the number set by the Seller. 1.4 The Seller retains the right to cancel the User's registration, i.e. to temporarily or permanently restrict the User's right to submit offers if the User fails to fulfill his/her obligations from the GT or from the purchase contract concluded in accordance with the provisions of Articles 7 and 8 of the GT, or if the User fails to participate in some of the offer submission variants. Such cancellation or restriction of the User's rights does not affect the said User's transactions concluded up to that point, nor the offers submitted, and the User shall still be obliged to fulfill his/her obligations as per the GTs. Seller also retains the right to exclude the User from current offer submission procedures within application without explanation. 2. SALE ITEMS 2.1 The Users submit their offers in witness of their readiness to conclude the purchase contract for items originally financed by the Seller. 2.2 The Seller is authorized to sell items as their owner. 2.3 The Sale Items are mainly vehicles, machines, industrial and other equipment. The Seller publishes individual item descriptions, information on their condition, eventual shortcomings and defects, location, photographs, financial data, price and other information in the application next to the relevant concerned item. Photos, item descriptions and assessments published by the Seller in the application are for information purposes only, and should not be construed as representing the basis for determination of the actual condition and technical characteristics of the Sale Item. Personal visual inspection of a Sale Item at the place of its location prior to submission of the purchase offer is the only reliable way to determine the actual condition of this Sale Item, its characteristics, features, eventual shortcomings and defects. The Seller shall not assume responsibility for impressions that the bidders may have acquired of a Sale Item, that is, for conclusions that they may have drawn based on sample showcase documents and information published in the application, which possibly may deviate from the Sale Item's actual condition. Therefore, the User shall not have any rights to exercise in respect of the Seller, particularly as concerns rights to damages in case of cancellation of the purchase contract, nor shall the User have the right to avoid payment of the purchase price, nor to request purchase price reduction for the Sale Item. 2.4 Every bidder shall be given equal opportunity by the Seller to inspect the Sale Item at the bidder's own expense, and to become familiar with its specifications, characteristics, technical condition, eventual shortcomings and defects, Item design, as well as to check all information published on the Item by the Seller. Should a bidder choose not to exercise his/her right to personal inspection and check of Sale Item's specifications, its characteristics, technical condition, eventual shortcomings and defects, or Item design, this shall not give bidder the right to withdraw from the purchase contract. Submitting a bid within one of offer submission variants shall mean that the bidder fully accepts the specifications, characteristics, technical condition, eventual shortcomings and defects, and the design of the item for which he/she submitted an offer, and that he/she confirms that the actual condition of a Sale Item corresponds with the description published by the Seller in the application. 2.5 It ensues from the above paragraphs, especially from paragraph 2.1, that Sale Items are at all times used items, so following their sale the Seller shall not be held liable by the Buyers for items' visible or hidden material defects, nor shall Seller offer any warranty, and the Buyers purchase the individual items as they are (As-Is principle). The purchase price for the Item reached in one of the variants for bidding and offer submission represents the price for the said Item on the relevant market in the condition in which such object of the purchase contract is. "3. VARIANTS FOR BIDDING AND SUBMISSION OF OFFERS BY BIDDERS " 3.1 Variants by which Users of application submit their offers, signaling their readiness to conclude the purchase contract, are "Auction", „Buy Now“ and „Open Bid“. 4. AUCTION 4.1 In Auction of the Sale Item, the Seller publishes in application the starting sale price, duration of the bidding process and the minimum, permitted rate of bid increase. When one of the Users submits his/her offer for the Sale Item, the application shows also the current offer for the Sale Item. 4.2 Participation in the Auction is possible only on condition of User registering into the application and submitting a bid. The User gives his/her offer of purchase price up to the maximum amount that he/she is, at the moment, prepared to pay for the relevant Sale Item. The application "Auction" functions on the principle of the so-called auction agent, meaning that only the User knows the amount of his/her maximum offer, whereby his/her current purchase price bid may exceed the highest competing offer always by and up to the amount of the minimum permitted rate of bid increase. The User's current offer of purchase price increases when the competing offer increases up to the moment when the User's current purchase price offer reaches the amount which User stipulated as the maximum amount that he/she is prepared to pay at the moment. 4.3 When the maximum bid amount of a User turns out to be lower than the maximum bid amount of the competing User (i.e. the User is outbid), the outbid User shall immediately be informed via application, that is, via e-mail. 4.4 The Purchase Contract for the Sale Item shall be concluded with the User who participated in the auction of the Sale Item, and whose bid was accepted by the Seller, of which he/she shall be informed by the Seller. The Seller undertakes to accept the bid of the User who offered the highest price prior to the bidding process closure provided that that the User's best offer at the very least corresponds to the amount of the Item's starting selling price. If User/Best Bidder defaults on his/her obligation to conclude the purchase contract for the Sale Item, that is, or on any obligation from the purchase contract, the Seller is entitled to invite any User-Bidder taking part in the bidding for the relevant Sale Item to conclude the purchase contract, or the Seller may proclaim the bidding unsuccessful. 5. „BUY NOW“ VARIANT 5.1 The „Buy Now“ variant is carried out exclusively as part of the Auction, whereby the Seller, in addition to information listed in paragraph 4.1 of the GT, publishes the sale price at which the item may be purchased directly. 5.2 Participation in the "Buy Now" variant is possible only provided that the User's registration into application, and his/her statement of intent to buy the Sale Item at the price listed by the Seller as the price at which the item may be purchased directly. Upon receipt of first such statement of intent from any User, the Auction is closed and "Buy Now" comes into force. The Conclusion of the purchase contract for the relevant Sale Item shall occur with the User who was first to submit the statement of intent to buy the Sale Item at the price listed by Seller as the price at which the item may be purchased directly. The Seller is obliged to invite such User to conclude the purchase contract. 5.3 If any User should offer a price that is higher than the Item's starting selling price before any other User has submitted his/her statement of intent for purchase pursuant to paragraph 5.2 of the GT, the "Buy Now" procedure shall be considered closed. 6. „OPEN BID“ VARIANT 6.1 With the "Open Bid" variant, the Seller also publishes the starting selling price and the bidding duration within the application. The published, starting selling price of an Item has only informative meaning for the User. 6.2 Participation in the "Open Bid" variant is possible only on condition of the User's registration into the application and submission of an offer on which he/she is prepared to purchase the Sale Item. The User has the right to list in his offer a price that is lower than the starting selling price of the Sale Item. 6.3 The purchase contract for the relevant Sale Item shall be concluded with the User who has participated in the "Open Bid" variant for the Sale Item, and whom the Seller has invited to conclude the purchase contract, that is, whose offer has been accepted by the Seller, and who has been informed thereof by the Seller. The Seller retains the right to conclude the purchase contract with any Bidder-User from the "Open Bid" variant, or to proclaim "Open Bid" unsuccessful. 7. CONCLUDING THE PURCHASE CONTRACT 7.1 The purchase contract for the specific Sale Item is considered concluded at the moment when the Seller has informed the relevant Bidder that his/her bid has been accepted. Notice on the acceptance of the bid is sent by e-mail to User's address listed in registration form. 7.2 The User who, pursuant to provisions of Article 4-6 of the GT, has participated in the bidding, and whose offer for a certain Sale Item has been accepted by the Seller, whereby the purchase contract for the said sale item is considered concluded; is obliged to fulfill his/her obligation to effect the payment of the purchase price for the Sale Item within 5 days from the receipt of notice of the acceptance of his/her bid. 7.3 The User who has concluded the purchase contract for a certain Sale Item may take over the said item immediately upon payment of the purchase price in full, and is obliged to do so within 5 business days at the latest from the day he/she received the notice that his/her bid has been accepted. Upon payment of the purchase price, he/she shall receive from the Seller an invoice, as well as all other documentation necessary for the transfer of ownership over the purchased item. 7.4 If the User who concluded the purchase contract for a certain Sale Item fails to fulfill his/her obligation to effect payment of the purchase price within the deadline stipulated in Article 7.2 of the GT, it shall be assumed that he/she has withdrawn from the contract, and the purchase contract shall be considered terminated, without any further obligation on the part of the Seller to set a subsequent adequate deadline for the User/Buyer to fulfill his/her obligation. In such case, the Seller has the right to claim flat-rate compensation from the User due to cancellation of the contract in the amount of 10% of the agreed purchase price for the Sale Item. 7.5 The User's obligation to pay the purchase price ceases in case the User, prior to the expiry of the deadline for payment of the purchase price stipulated in paragraph 7.2 of the GT, has decided to conclude a leasing contract with the Seller, whereby the leasing item value is equal to its purchase price as per paragraph 8.4 of the GT, and provided that this request for financing through leasing has been approved by the Seller. The Seller has no obligation to conclude a leasing contract with the User. 8. CONTENTS OF THE PURCHASE CONTRACT 8.1 The purchase contract, which the Seller as the person authorized to sell the Item, shall conclude with the User as buyer, in the matter of sale and purchase of the Item for which the User has submitted a bid pursuant to the provisions of Article 4.6 of the GT, implies provisions stated in the subsequent paragraphs of this Article. 8.2 The object of sale and purchase is the Item for which the User has submitted a bid pursuant to provisions of Articles 4-6 of the GT. 8.3 The Seller declares that he/she is authorized for the sale of the Item. 8.4 The purchase price for the Item, without VAT, equals to the User's (Buyer's) bid amount, reached through one of offer submission variants, whereby the User has stated his/her intent to conclude the purchase contract pursuant to the provisions of Article 3-6 of the GT. The purchase price shall be considered settled only on the day on which it has been recorded in the full amount in the Seller's bank account. 8.5 The delivery and takeover of the Item shall occur immediately after the User (Buyer) has effected the payment in full. The takeover shall be carried out at the item delivery location corresponding to the actual location of the Item stated by the Seller in the application alongside other information on the relevant Item. If the User (Buyer) should request the Item to be delivered at some other location, he/she is then obliged to ensure transport of the Item to the said location, and to bear transport and insurance costs. In case the User's (Buyer's) registered office, place of permanent residence or temporary residence is located outside the Republic of Croatia, he/she is then obliged to provide for all activities related to the sale of Item abroad be carried out at his/her own expense (in particular, eventual customs and similar procedures). 8.6 The User (Buyer) declares that he/she is fully familiar with the Item's technical condition, as well as with all its shortcomings, and aware of the fact that the purchase price refers to exactly this condition of the item, so that the User (Buyer) purchases the Item exactly as is, and the Seller does not offer any guarantee for its hidden or visible shortcomings, nor does he offer any warranty for the quality thereof. 8.7 The User (Buyer) acquires ownership over the Item only upon payment of the full purchase price into the Seller's bank account. The risk of damage to the Item shall be transferred to the User (Buyer) upon the takeover of the Item. 8.8 The contracting parties agree that all disputes issuing from legal relationships based upon or resulting from the purchase contract shall be settled before the Commercial Court in Zagreb. 9. FINAL PROVISIONS 9.1 The legislation and legal regulations of the Republic of Croatia, in particular the Civil Obligations Act, shall apply to all legal relations between the Seller, Interested Parties and Users not explicitly regulated by the GT. 9.2 The User is required to inform the Seller without delay about any change in address of his/her registered office, permanent or temporary residence, telephone or telefax number, e-mail address, as well as of any other change with regard to the company data listed in registration request form, with the exception of the change of password. 9.3 If any of the provisions of the GT is or becomes null and void, unenforceable or incomplete, it shall not affect the reamining validity or enforceability of the remaining provisions of the GT. 9.3 The Interested Party or User agrees that the Seller is allowed to forward all the data submitted in the course of registration to the provider and application system maintenance contractor, company Motrada Handels GmbH, having its registered office at Mariahilfer Straße 82, 1070 Wien, as well as to all entities belonging to the same group as the Seller, or the Seller's founders. 9.4 All communications and e-mail correspondence that the Seller delivers to the User pursuant to the GT or in connection with the GT, the Seller shall send to the address or e-mail address of the Interested Party or User stated in the registration request form, or to the address delivered to the Seller by the Interested Party or User in writing. For written correspondence other than e-mail, the mail delivery date shall be deemed as the date when the mail has been received by the Interested Party or User. Alternatively, in case the Interested Party or User fails to take over the mail within deadline for mail takeover, or if the mail cannot be delivered due to change in the Interested Party's or User's address, the date when mail has been returned to the Seller by post as undelivered shall be deemed as the delivery date. Written documentation sent by e-mail and all e-mail correspondence shall be deemed delivered at the moment it is sent to the Interested Party's or User's e-mail address indicated in the registration request form, or to the e-mail address delivered to the Seller by the Interested Party or User in written form. 9.5 The contracting parties agree that the Seller is entitled to amend the GT at any time. In such a case, the new GT version becomes valid for the User from the date it has been delivered by mail or by e-mail. The new version of the GT shall be binding for offer submission variants in the application in which the User the may participate following the delivery of the new version of the GT. In case the User does not agree with the new version of the GT, he/she is entitled to request cancellation of his/her registration from the Seller. In case the User should participate in any of the variants for offer submission after the delivery of the new version of the GT, his/her participation shall be construed by the Seller as an unconditional acceptance of this new version of the GT. 9.6 The contracting parties agree that all disputes resulting from legal relations based upon or related to the GT shall be settled before the Commercial Court in Zagreb. In all disputes resulting or related to the GT, the version of the GT in the Croatian language shall prevail before the competent court. 9.7 By signing the registration request form, the Interested Party acknowleges that he/she is fully cognizant of all terms and conditions applicable to registration into the application, and that he/she has read the valid version of the GT carefully and in full. By signing the registration request form, the Interested Party acknowledges that he/she fully understands the GT, that he/she unconditionally accepts and that he/she shall observe and comply with all provisions of the GT. 9.8 Only those Interested Parties which do not consider themselves as consumers within the meaning of the Consumer Protection Act shall be accepted as Users. _________________________________________________________________________________________________ ________________________________________________________________________________________________________________________________ The Rules of Internet Auctions of the company VB Leasing Polska S.A.§1 Organizer of the auction The company VB Leasing Polska – joint stock company with its registered office in Wroclaw at Strzegomska street, entered into the register of entrepreneurs conducted by the District Court for Wroclaw-Fabryczna, the 6th Commercial Division of the National Court Register under the number KRS 0000035259 shall be the organizer of an auction. §2 The subject of sale The subject of sale in the course of internet auctions shall be as follows: used fixed assets constituting property of the company VB Leasing Polska S.A., including vehicles, machines and equipment being the subject of tenancy or leasing agreements made by VB Leasing Polska S.A. and recovered in the course of vindication proceedings. Course of auctions. §3 The starting price and minimal price "1. Auctions may be conducted in the course of bidding and in the course of an open offer. " "2. The subject of sale shall be put up for auction with the designated starting price. The starting price, subject to item 3 shall be determined on the basis of appraisal of the expert and in case of Subjects of Sale constituting fixed assets introduced to the public trading, the starting price shall be set forth the Auction Organizer on the basis of market ratings. In each case of determination of the starting price the current level of wear and tear of the Subject of Sale shall be considered. " "3. Should the minimal price be determined in case of particular auction, the starting price may be agreed in any manner by the Auction Organizer. " "4. In case of auctions including option “Buy now”, the Subject of Sale shall be put for auction in the course of bidding with the possibility to acquire thereof for the agreed transaction price. The provisions of item 2 shall be applied accordingly to determine that price. " §4 The minimal price may be agreed for each Subject of Sale and the amount of that price shall not be revealed to the participants of an auction. The minimal price shall be agreed on the basis of appraisal of the property expert and in case of the Subjects of Sale constituting fixed assets introduced to the public trading the minimal price is determined by the Auction Organizer on basis of market ratings. In each case when minimal price is determined the current level of wear and tear of the Subject of Sale shall be considered. §5 "1. Organizer of the auction shall provide each participant of the auction the possibility to familiarize with the technical condition of the Subject of Sale and to verify information, referred to in paragraph 7 item 1 letter f), in the place of storage of the Subject of Sale. Omission to familiarize with the technical condition of the Subject of Sale by the auction Participant shall not constitute the basis of any claims of the auction participant in relation to VB Leasing Polska S.A. nor any rights to renounce the sale agreement or the request for price reduction of the Subject of Sale. Accession to the auction shall mean acceptance of technical condition of the Subject of Sale by the auction Participant and approval of its description compliance published by the Auction Organizer with the actual state. " §7 Announcement of the auction Announcement of the auction shall be published on the internet web site vbleasing.pl and it includes at least: date of the auction date of ending of the auction subject to the provision that auctions conducted in the course of open offer may be finished by the Auction Organizer before the agreed date; information, whether the auction includes option “Buy now”; information, whether the auction is conducted in the course of open offer; the quantity, kind and type of the Subject of Sale description of the Subject of Sale considering its technical condition; the starting price and in case of auctions including an option “Buy now” also the transaction price for this option; the VAT rate being appropriate for the Subject of Sale; address of the place of storage of the Subject of Sale; photographs of the Subject of Sale. The photos, descriptions and appraisals published by VB Leasing Polska S.A. have exclusively visual nature and do not constitute an element of marking or technical description of the Subject of Sale. The exclusive source of information on the Subject of Sale, any marking and description thereof shall constitute personal, eyewitness verification in the place of watching of the Subject of Sale carried out by the Participant before submission of the purchase offer. VB Leasing Polska S.A. shall not be responsible for conclusions made by the participants on the basis of published visional materials which are different from the actual state of the Subject of Sale and in relation to this they can not constitute the basis of any claims of the auction Participant by virtue of that in relation to VB Leasing Polska S.A., including without limitation the fact that the Participant is not entitled to renounce the agreement or request reduction of the price. §8 Course of the auction "1. Participation in the auction takes place through logging of the Auction Participant in the internet web site and submission of the offer in electronic form including maximum price for which he declares intension to purchase the Subject of Sale or – in case of auctions containing an option “Buy now” – through declaration of the intension to buy the Subject of Sale for the transactional price determined by the Auction Organizer. " §9 In case when despite of (bid) increment the price offered by the Auction Participant conducted in the course of bidding is lower than the minimal or starting price set forth for the bid thing the information on failure to reach the starting price is sent to his mail address given in the registration form. §10 Settlement of the auction "1. The auction conducted in the course of bidding shall be finished upon the lapse of the date for which it has been announced and in case of auctions containing an option “Buy now”, upon the time of submission of the offer of payment of the determined transaction price. " "2. Auction conducted in the course of bidding is won by the Participant who submitted the highest offer exceeding the starting and minimal price until the time of completion of bidding. The Auction Organizer notifies that Participant of the above through sending e-mail message on the address given in the application together with pro-forma invoice. In case of auctions including an option “Buy now” the auction is won by the Participant who declares intension to acquire the Subject of Sale for the transaction price for the option “Buy now” as the first one. " "3. In case of withdrawal from the bidding of the participant who submitted the highest offer, the Auction Organizer may address the sale offer of the Subject of Sale of the next participant in consideration of the offered price or to cancel the bidding. " "4. In case when any of the submitted offers has not reached the minimum price, the Auction Organizer shall cancel the bidding. " "5. The auction conducted in the course of an open offer shall be finished at the time of acceptance of any purchase offer by the Organizer selected at his own discretion. " §11 Payment of the purchase price "1. The participant who bid the highest price and in case of auctions conducted in the course of the open offer the Participant whose offer was selected by the Auction Organizer shall be obliged to pay the purchase price within the period of three days following completion of the auction to the bank account appointed in the information on the result thereof, subject to the provisions of paragraph 14. " "2. As the result of payment by the Auction Participant, referred to in item 1, of the purchase price to the account appointed by VB Leasing Polska S.A., the sale agreement is made between VB Leasing Polska S.A. and the Auction Participant who acquires the ownership title of the Subject of Sale from VB Leasing Polska S.A. " §12 The sale invoice shall be issued by VB Leasing Polska S.A. in accordance with data of the purchaser included in the registration form, however not earlier than upon posting of payment of the price on the account of VB Leasing Polska S.A. and provided to the auction Participant together with delivery of the Subject of Sale. §13 In case when Participant of an Auction does not pay the sale price within the period defined in paragraph 11 item 1, VB Leasing Polska S.A. may assert payment of the price at its own discretion in accordance with the general rules or terminate the sale agreement. Provisions of paragraph 10 item 3 shall be applied accordingly. §14 "1. Upon the application of the auction winner submitted within the period of two (2) days following completion of the auction, VB Leasing Polska S.A. may sign a leasing agreement with the Auction Participant concerning the bid Subject of Sale on the basis of which the bid price shall constitute simultaneously the offer value of the subject of leasing. " "2. VB Leasing Polska S.A. reserves itself the right to reject an application of the Participant. In such situation the provisions of paragraph 11 item 1 shall be applied accordingly and the date set forth therein shall lapse upon the day of notifying the Participant that the application has been rejected. " §15 The winner of an auction who has not fulfilled his duty to pay the price agreed in the auction can not participate in the auctions organized by VB Leasing Polska S.A. through the period of 12 months upon the day of auction completion. §16 Processing of the data Through registration by means of the registration from, the Participant accepts the provisions of those Rules and gives consent for processing of his personal data included in the registration form within the scope being indispensable for appropriate performance of any actions connected with bidding and completion thereof. "1. Data contained in the registration form shall be deleted by VB Leasing Polska S.A. upon every request of the participant subject to the provision that data of the auction winner being indispensable for conclusion of the sale or the leasing agreement in case of his offer acceptance by the Management Board of VB Leasing Polska S.A., as well as the data being indispensable for assertion of the claims resulting from the concluded sale or leasing agreement may be still processed by VB Leasing Polska S.A. " §17 Final provisions In order to purchase by means of an electronic auction the fixed assets constituting property of the companies other than VB leasing Polska S.A. belonging to the concern VB-Leasing International Holding GmbH, the Participant shall be obliged to familiarize with the rules of auction established by those companies and acceptance thereof before accession to the auction. "1. VB Leasing Polska S.A. may cancel an auction in whole or in part without giving any reasons at any time of duration thereof. " "2. VB Leasing Polska S.A. shall not be responsible for any concealed defects of particular Subjects of Sale and will not repair potential faults of those Subjects. The Auction Participant agrees to exclude any rights resulting from the warranty for physical defects of the Subject of Sale by VB Leasing Polska S.A.. " "3. Participants of the Auction shall submit any disputes resulting on the basis thereof to settlement of the Management Board of VB Leasing Polska S.A. " "4. Any disputes connected with the sale agreements made on the basis of those rules shall be resolved by the Common Court having jurisdiction for the registered office of the company VB Leasing Polska S.A. " "5. VB Leasing Polska S.A. reserves itself the right to amend those Rules, whereas such amendments shall not cause any effect in relation to the auctions pending at that time. " Privacy protection policy "________________________________________________________________________ " Recording and processing of data The financial services shall be subject to the rule of special confidence observance. Protection of the customers and contractors data constitute one of the most important rules binding in the company VB Leasing. The companies of VB LEASING GROUP shall be obliged to preserve confidence of the data provided to them. We have appropriate organizational and technical solutions in order to protect data of the users of web sites of VB LEASING at the highest level. Both users of the web sites, customers of VB LEASING, as well as the persons applying for work in the group shall be subject not only to the right of personal data protection, but also the privacy protection rule observed by our company. VB LEASING commits itself to process any data acquired from the users of the internet web site exclusively within the scope of Austrian Group Volksbank and the companies connected with ÖVAG. The collected data shall not be provided to any third parties, provided that the company VB LEASING is legally or officially obliged to do so or particular persons gave their consent for such actions. Notification Using of generally available web sites of the company VB LEASING is anonymous. Collection, using and processing of the personal data of sites users is possible exclusively upon giving consent by the user. The only exception from that rule is processing of the data given by the user in the inquiry form. In case the user resigns from giving data in the course of completion of the form or leaves the internet site then any information given by him shall be deleted. Selection opportunity Every user of the site of VB LEASING takes decision himself which data are provided and in what manner they can be used. Data are collected by VB LEASING exclusively for the purposes agreed with the user and within the scope being consistent with any designation thereof. Right to information We respect the right of users to data protection, including without limitation any right to information. Data provided by the users in the course of using the web site are available for them upon filing an inquiry within the scope permissible under the national provisions of law. We undertake any efforts to ensure correctness of personal data. We are asking for notification regarding any changes or corrections. Our employees shall be obliged to observe any rules of confidence. Data safety The companies VB LEASING shall apply any solutions in order to protect data at the highest technical level. _______________________________________________________________________________________________________________________________ OPĆI UVJETI SUDJELOVANJA U NADMETANJU ZA KUPNJU RABLJENIH OBJEKATA FINANCIRANIH OD STRANE VB LEASING d.o.o.Ovim Općim uvjetima sudjelovanja u nadmetanju za kupnju rabljenih objekata financiranih od strane VB LEASING d.o.o. (u daljnjem tekstu „OU“) reguliraju se uvjeti i postupak predaje ponuda pojedinih interesenata za zaključivanje kupoprodajnog ugovora za objekte koji su prvobitno bili financirani od strane društva VB LEASING d.o.o. Predaja ponuda za rabljene predmete vrši se putem internetske aplikacije www.vbleasing.ba (u daljnjem tekstu „aplikacija“) društva VB LEASING d.o.o. sa sjedištem u Sarajevu, Fra Anđela Zvizdovića 1, ID 4200090980002 (u daljnjem tekstu „prodavatelj“). REGISTRACIJA KORISNIKA 1.1 Ovlaštenje za predaju ponuda, sudjelovanje u različitim varijantama davanja ponuda te za korištenje aplikacijskog izbornika u punom opsegu dobivaju samo oni interesenti koji se sukladno odredbama OU-a, te u skladu s pojedinim koracima i postupcima internetske aplikacije, uspješno registriraju. "1.2 Osoba zainteresirana za korištenje aplikacije u punom opsegu obvezuje se pod linkom „registracija“ ispuniti sva polja označena kao obvezna, i to osnovne podatke o društvu interesenta, podatke o osobi koja je u ime interesenta ovlaštena za prijavu u aplikaciju i za davanje ponude, podatke o osobi ovlaštenoj za zastupanje interesenta te istovremeno potvrđuje da je upoznata s OU-ima te da iste prihvaća. Interesent je zatim obvezan ispisati potpuno ispunjeni obrazac zahtjeva za registraciju (sukladno ovoj i prethodnoj točki) kao i jedan primjerak OU-a te ih ovjerene žigom i potpisane od strane osobe ovlaštene za zastupanje interesenta zajedno s kopijom rješenja iz sudskog registra i Identifikacijski brojem poslati faksom, a zatim i poštom na adresu prodavatelja. Interesent je odgovoran za točnost svih podataka navedenih na obrascu zahtjeva za registraciju. Interesent ujedno snosi i odgovornost za povjerljivost odabranog korisničkog imena i šifre, kao i za zabranu pristupa trećim osobama. U slučaju sumnje da treća osoba raspolaže informacijom o korisničkom imenu ili šifri, o tome se bez odgode mora obavijestiti prodavatelj, a interesent odnosno prihvaćeni korisnik je dužan promijeniti šifru u aplikaciji. Odgovornost za zloporabu korisničkog imena ili šifre uvijek snosi interesent odnosno prihvaćeni korisnik." "1.3 Prodavatelj provjerava podatke koje je interesent naveo u obrascu za registraciju, što podrazumjeva i pribavljanje finansijskih, imovinskih i drugih podataka od državnih tijela kao što su sudovi, Registar Centralne banke BiH i sl. Prodavatelj pridržava pravo ne prihvatiti interesenta kao korisnika aplikacije bez navođenja razloga i ne uzimajući u obzir točnost podataka koje je interesent naveo na obrascu zahtjeva za registraciju, kao i postaviti posebne uvjete za prihvaćanje nekog korisnika. Interesent nema pravne osnove zahtijevati prihvaćanje njegove registracije. O rezultatu provjere i eventualnog prihvaćanja zahtjeva za registraciju prodavatelj obavještava interesenta putem e-maila. Ukoliko je interesent prihvaćen kao novi korisnik, isti se odmah po primitku obavijesti može prijaviti pod korisničkim imenom i šifrom koje je naveo u svom zahtjevu za registraciju. Od strane prodavatelja prihvaćeni novi korisnik aplikacije nadalje se naziva „korisnikom“. Korisnik je po prihvaćanju njegovog zahtjeva za registraciju ovlašten odabirati dodatna korisnička imena i šifre u aplikaciji, do onog broja kojeg je odredio prodavatelj." 1.4 Prodavatelju pripada pravo ukinuti registraciju korisnika odnosno privremeno ili trajno ograničiti pravo korisnika na davanje ponuda, ukoliko korisnik ne ispuni svoje obveze iz OU-a ili kupoprodajnog ugovora koji se sklapa sukladno odredbama članka 7. i 8. OU-a, ili ukoliko korisnik ne sudjeluje u nekoj od varijanti davanja ponuda. Takvo isključenje ili ograničavanje prava korisnika na davanje ponuda nema utjecaja na poslove koje je dotični korisnik do tog trenutka zaključio niti na ponude koje je predao, te je korisnik i dalje dužan ispuniti svoje obveze sukladno OU-ima. Prodavatelj također pridržava pravo isključiti korisnika iz tekućih postupaka davanja ponuda u aplikaciji bez obrazloženja. 2. PREDMETI PRODAJE 2.1 Korisnici predaju svoje ponude u znak spremnosti na zaključivanje kupoprodajnog ugovora za objekte koji su prvobitno bili financirani od strane prodavatelja. 2.2 Prodavatelj je ovlašten na prodaju objekata kao njihov vlasnik. 2.3 Predmeti prodaje uglavnom su vozila, strojevi, industrijska i ostala oprema. Pojedinačne opise predmeta, podatke o njihovom stanju, eventualnim nedostacima i oštećenjima, mjestu držanja, slike, financijske podatke, cijenu te ostale informacije prodavatelj objavljuje u aplikaciji pored predmeta o kojem se radi. Od strane prodavatelja u aplikaciji objavljene slike, opisi predmeta i procjene isključivo su informativnog karaktera i ne predstavljaju temelj za utvrđivanje stvarnog stanja i tehničkih karakteristika prodajnog predmeta. Jedini pouzdani način utvrđivanja stvarnog stanja prodajnog predmeta, njegovih svojstava, obilježja, eventualnih nedostataka ili oštećenja jest osobni, vizualni pregled prodajnog predmeta na mjestu držanja od strane ponuđača, i to prije predaje ponude za kupnju. Prodavatelj ne preuzima odgovornost za dojmove o prodajnom predmetu koje su ponuđači stekli odnosno zaključke koje su donijeli temeljem oglednih dokumenata i informacija objavljenih u aplikaciji, a koji eventualno mogu odstupati od stvarnog stanja prodajnog predmeta, te stoga korisnik nema nikakvih prava spram prodavatelja, posebice ne na odštetu u slučaju odustajanja od kupoprodajnog ugovora, kao niti na neplaćanje prodajne cijene, niti na zahtjev za smanjenje prodajne cijene predmeta. 2.4 Od strane prodavatelja je svakom ponuđaču omogućeno da o svom trošku pregleda prodajni predmet te se upozna s njegovom specifikacijom, svojstvima, tehničkim stanjem, eventualnim nedostacima i oštećenjima, kao i dizajnom predmeta, te da provjeri sve informacije o predmetu koje je objavio prodavatelj. Ukoliko ponuđač ne iskoristi svoje pravo na osobni pregled i provjeru specifikacije prodajnog predmeta, njegovih svojstava, tehničkog stanja, eventualnih nedostataka i oštećenja te dizajnom predmeta to mu ne daje pravo na istupanje iz kupoprodajnog ugovora. Predaja ponude korisnika u jednoj od varijanti davanja ponude znači da ponuđač u potpunosti prihvaća specifikaciju, svojstva, tehničko stanje, eventualne nedostatke i oštećenja te dizajn prodajnog predmeta za kojeg je predao ponudu te da potvrđuje podudarnost opisa kojeg je prodavatelj objavio u aplikaciji sa stvarnim stanjem prodajnog predmeta. 2.5 Iz prethodno navedenih točaka, posebice iz točke 2.1, proizlazi da se kod prodajnih predmeta uvijek radi o rabljenim predmetima te stoga po njihovoj prodaji prodavatelj kupcima ne odgovara za vidljive ili skrivene materijalne nedostatke na predmetu niti daje ikakvo jamstvo, a kupci kupuju pojedinačne predmete takve kakvi jesu (viđeno-kupljeno). Prodajna cijena predmeta postignuta u jednoj od varijanti natjecanja i davanja ponuda predstavlja cijenu predmeta na relevantnom tržištu pri tome uzimajući u obzir ono stanje predmeta kupoprodajnog ugovora u kakvom se predmet kupoprodajnog ugovora zaista nalazi. "3. VARIJANTE NATJECANJA I DAVANJA PONUDE OD STRANE PONUĐAČA" 3.1 Varijante u kojima korisnici u aplikaciji predaju svoje ponude u znak spremnosti na zaključenje kupoprodajnog ugovora su „aukcija“, „buy now“ („kupnja odmah“) i „open bid“ („otvorena ponuda“). 4. AUKCIJA 4.1 Kod aukcije prodajnog predmeta prodavatelj u aplikaciji također objavljuje i početnu prodajnu cijenu predmeta, trajanje nadmetanja te minimalnu dozvoljenu stopu povećanja ponude. Kada jedan od korisnika preda svoju ponudu za prodajni predmet, u aplikaciji se također vidi i aktualna ponuda za prodajni predmet. 4.2 Sudjelovanje u aukciji moguće je isključivo pod uvjetom prijave korisnika u aplikaciju i predaje ponude. Korisnik daje svoju ponudu kupovne cijene u visini maksimalnog iznosa kojeg je u tom trenutku spreman platiti za dotični prodajni predmet. Aplikacija „aukcija“ funkcionira po načelu tzv. aukcijskog agenta, što znači da jedino korisnik zna iznos svoje maksimalne ponude, pri čemu njegova aktualna ponuda kupovne cijene može nadmašiti najveću konkurentsku ponudu uvijek u visini minimalno dozvoljene stope povećanja ponude. Aktualna ponuda kupovne cijene korisnika automatski raste u slučaju povećanja konkurentske ponude sve do trenutka kada aktualna ponuda kupovne cijene korisnika dosegne iznos kojeg je korisnik naveo kao maksimalni iznos kojeg je u tom trenutku spreman platiti. 4.3 U slučaju kada maksimalni iznos ponude jednog od korisnika ispadne niži od konkurentskog maksimalnog iznosa ponude nekog drugog korisnika (t.j. korisnik je nadmašen), nadmašeni korisnik se o tome odmah obavještava direktno u aplikaciji odnosno putem e-maila. 4.4 Do zaključenja kupoprodajnog ugovora za prodajni predmet dolazi za onog korisnika koji je sudjelovao u aukciji prodajnog predmeta te čiju ponudu je prodavatelj prihvatio, te ga obavijestio o tome. Prodavatelj se obvezuje prihvatiti ponudu onog korisnika koji je prije završetka nadmetanja ponudio najveću cijenu, pod pretpostavkom da korisnikova najbolja ponuda minimalno odgovara iznosu početne prodajne cijene predmeta. Ukoliko korisnik/najbolji ponuđač prekrši svoju obvezu na sklapanje kupoprodajnog ugovora za prodajni predmet, odnosno iz kupoprodajnog ugovora, prodavatelj ima pravo na zaključenje kupoprodajnog ugovora pozvati bilo kojeg korisnika-ponuđača koji je sudjelovao u nadmetanju za dotični predmet, odnosno prodavatelj može nadmetanje proglasiti neuspjelim. 5. VARIJANTA „BUY NOW“ 5.1 Varijanta „buy now“ („kupnja odmah“) odvija se isključivo kao dio aukcije, pri čemu prodavatelj pored podataka navedenih u tč. 4.1 OPU-a objavljuje i prodajnu cijenu za koju se predmet može odmah kupiti. 5.2 Sudjelovanje u varijanti „buy now“ moguće je isključivo pod uvjetom prijave korisnika u aplikaciju i njegove izjave namjere za kupnju prodajnog predmeta po cijeni koju je prodavatelj naveo kao cijenu po kojoj se predmet može kupiti odmah. Po dobitku prve takve izjave namjere od nekog korisnika završava se nadmetanje i „buy now“ tj. „kupnja odmah“ stupa na snagu. Do zaključenja kupoprodajnog ugovora za prodajni predmet dolazi sa onim korisnikom koji je prvi dao izjavu namjere za kupnju prodajnog predmeta po cijeni koju je prodavatelj naveo kao cijenu po kojoj se predmet može kupiti odmah. Prodavatelj je obvezan tog korisnika pozvati na sklapanje kupoprodajnog ugovora. 5.3 Ukoliko jedan od korisnika ponudi cijenu koja je veća od početne prodajne cijene predmeta prije nego neki drugi korisnik preda svoju izjavu namjere za kupnju sukladno tč. 5.2 OU-a, „buy now“ se smatra završenim. 6. VARIJANTA „OPEN BID“ 6.1 Kod varijante „open bid“ („otvorena ponuda“) prodavatelj u aplikaciji također objavljuje početnu prodajnu cijenu predmeta i trajanje. Objavljena početna prodajna cijena predmeta za korisnika ima samo informativno značenje. 6.2 Sudjelovanje u varijanti „open bid“ moguće je isključivo pod uvjetom prijave korisnika u aplikaciju i predaje ponude po kojoj je spreman kupiti prodajni predmet. Korisnik ima pravo u svojoj ponudi navesti i nižu cijenu od početne prodajne cijene predmeta. 6.3 Do zaključenja kupoprodajnog ugovora za prodajni predmet dolazi sa onim korisnikom koji je sudjelovao u varijanti „open bid“ za prodajni predmet te kojeg je prodavatelj pozvao na sklapanje kupoprodajnog ugovora, odnosno čiju je ponudu prihvatio, te ga o tome obavijestio. Prodavatelju pripada pravo na sklapanje kupoprodajnog ugovora prihvatom ponude sa bilo kojim ponuđačom-korisnikom iz varijante „open bid“, ili proglasiti „open bid“ neuspjelim. 7. SKLAPANJE KUPOPRODAJNOG UGOVORA "7.1 Kupoprodajni ugovor za određeni prodajni predmet se smatra sklopljenim u trenutku kad prodavatelj obavijesti određenog ponuđača o prihvatu njegove ponude. Obavijest o prihvatu ponude se upućuje e-mailom na adresu korisnika navedenu u obrascu za registraciju." 7.2 Korisnik koji je sukladno odredbama članka 4-6 OU-a sudjelovao u nadmetanju te čija je ponuda prihvaćena od strane prodavatelja za određeni prodajni predmet, a čime se kupoprodajni ugovor za taj prodajni predmet smatra sklopljenim, obvezan je, unutar 5 dana od dostave obavijesti o prihvatu njegove ponude, ispuniti svoju obvezu uplate kupoprodajne cijene za prodajni predmet. 7.3 Korisnik s kojim je sklopljen kupoprodajni ugovor za određeni prodajni predmet isti može preuzeti odmah po uplati kupoprodajne cijene u cijelosti, a dužan je to učiniti najkasnije unutar roka od 5 radnih dana od dana kad je obaviješten o prihvatu njegove ponude. Po uplati kupoprodajne cijene bit će mu izdan račun, te predana ostala potrebna dokumentacija za prijenos prava vlasništva nad kupljenim objektom od strane prodavatelja. 7.4 Ukoliko korisnik s kojim je sklopljen kupoprodajni ugovor za određeni prodajni predmet ne izvrši svoju obvezu na uplatu kupoprodajne cijene u roku određenom u čl. 7.2 OU-a, smatra se da je odustao od ugovora, te se ugovor o kupoprodaji smatra raskinutim, bez obveze prodavatelja na ostavljanje naknadnog primjerenog roka za ispunjenje obveze korisniku/kupcu. Prodavatelj u tom slučaju ima pravo potraživati od korisnika paušalnu naknadu zbog odustanka od ugovora u visini od 10% od ugovorene kupoprodajne cijene za prodajni predmet. 7.5 Obveza korisnika na isplatu kupoprodajne cijene prestaje u slučaju da se korisnik prije isteka roka za uplatu kupoprodajne cijene navedenog u točki 7.2 OU-a sa prodavateljem odluči sklopiti ugovor o leasingu u kojem je vrijednost predmeta leasinga istovjetna njegovoj prodajnog cijeni sukladno tč. 8.4 OU-a, te ukoliko mu zahtjev za financiranjem putem leasinga bude odobren od strane prodavatelja, u skladu sa procedurama VB Leasinga. Prodavatelj nema obvezu sklapanja ugovora o leasingu s korisnikom. 8. SADRŽAJ KUPOPRODAJNOG UGOVORA 8.1 Kupoprodajni ugovor kojeg prodavatelj kao subjekt ovlašten za prodaju predmeta zaključuje s korisnikom kao kupcem vezano na prodaju i kupnju predmeta za kojeg je korisnik predao ponudu sukladno odredbama članaka 4.-6. OU-a podrazumijeva odredbe navedene u sljedećim točkama ovog članka. 8.2 Predmet kupnje i prodaje je predmet za kojeg je korisnik predao ponudu sukladno odredbama članaka 4.-6. OU-a. 8.3 Prodavatelj izjavljuje da je ovlašten za prodaju predmeta. 8.4 Prodajna cijena predmeta bez PDV-a jednaka je iznosu ponude korisnika (kupca) koji je postignut unutar jedne od varijanti predaje ponuda čime je korisnik izjavio svoju volju na zaključenje kupoprodajnog ugovora sukladno odredbama članaka 3.-6. OU-a. Prodajna se cijena smatra podmirenom tek na dan njenog knjiženja u punom iznosu na žiro-računu prodavatelja. "8.5 Do isporuke i preuzimanja predmeta dolazi odmah po izvršenom plaćanju od strane korisnika (kupca) u punom iznosu. Preuzimanje se vrši na mjestu isporuke predmeta koje odgovara aktualnom mjestu držanja predmeta navedenom od strane prodavatelja u aplikaciji uz ostale podatke o konkretnom predmetu. Ukoliko korisnik (kupac) zahtijeva isporuku predmeta na nekom drugom mjestu, u tom je slučaju obvezan osigurati prijevoz predmeta na dotično mjesto te snositi troškove transporta i osiguranja. Ukoliko korisnik (kupac) ima sjedište, prebivalište ili boravište izvan Bosne i Hercegovine, tada je obvezan sve radnje vezane uz prodaju predmeta u inozemstvo realizirati o svom trošku (posebice eventualne carinske i slične postupke)." 8.6 Korisnik (kupac) izjavljuje da je upoznat s tehničkim stanjem predmeta kao i svim njegovim nedostacima, kao i s činjenicom da prodajna cijena odgovara upravo tom stanju predmeta te korisnik (kupac) stoga kupuje predmet takav kakav jest, a prodavatelj ne jamči za njegove skrivene i vidljive nedostatke niti daje garanciju kvalitete. 8.7 Korisnik (kupac) stječe pravo vlasništva nad predmetom tek po uplati cjelokupnog prodajnog iznosa na žiro-račun prodavatelja. Rizik od štete na predmetu prelazi na korisnika (kupca) prilikom preuzimanja predmeta. "8.8 Ugovorne strane su suglasne da se svi sporovi koji proizlaze iz pravnih odnosa temeljem ili vezano uz kupoprodajni ugovor rješavaju pred Općinski sudom u Sarajevu." 9. ZAKLJUČNE ODREDBE "9.1 Za pravne odnose između prodavatelja, interesenta i korisnika koji nisu izričito regulirani OU-a vrijede zakonski propisi Bosne i Hercegovine, posebice Zakon o obligacionim . " "9.2 Korisnik je obvezan bez odgode pisanim putem obavijestiti prodavatelja o promjeni svojeg sjedišta, prebivališta ili boravišta, broja telefona ili faksa, e-mail adrese, kao i o svim ostalim promjenama podataka o društvu koje je korisnik naveo u obrascu zahtjeva za registraciju, osim o promjeni šifre." 9.3 Moguća ništavost,pobojnost ili nepotpunost odredbi OU-a ne mogu imati za posljedicu ništavost pobojnost cijelih OU-a. 9.3 Interesent odnosno korisnik suglasan je da sve njegove prilikom registracije dostavljene podatke prodavatelj smije proslijediti isporučitelju i sistemskom održavatelju aplikacije, društvu Motrada Handels GmbH, sa sjedištem u Mariahilfer Straße 82, 1070 Wien, kao i subjektima koji pripadaju istoj grupaciji kao prodavatelj, odnosno osnivači prodavatelja. 9.4 Sva pismena odnoso e-mail poštu koju prodavatelj temeljem OU-a ili u svezi s OU-a dostavlja korisniku, prodavatelj šalje na adresu odnosno e-mail adresu interesenta ili korisnika navedenu na obrascu zahtjeva za registraciju odnosno na adresu koju je interesent ili korisnik u pisanom obliku dostavio prodavatelju. Kao dan dostave pismenih pošiljki koje nisu poslane putem e-maila smatra se dan preuzimanja pismene pošiljke od strane interesenta ili korisnika, odnosno dan povrata pošiljke od strane pošte prodavatelju zbog nepreuzimanja pošiljke od strane interesenta ili korisnika unutar roka za preuzimanje pošiljke ili iz razloga što interesent ili korisnik više nema sjedište odnosno ne stanuje na dotičnoj adresi. Pisana dokumentacija poslana putem e-maila i sva e-mail pošta smatra se dostavljenom u trenutku slanja na e-mail adresu interesenta ili korisnika navedenu na obrascu zahtjeva za registraciju odnosno na e-mail adresu koju je interesent ili korisnik u pisanom obliku dostavio prodavatelju. 9.5 Ugovorne su strane suglasne da prodavatelju pripada pravo izmjene OU-a u bilo kojem trenutku. U tom je slučaju za korisnika nova verzija OU-a važeća od dana dostave poštom ili putem e-maila. Nova verzija OU-a obvezujuća je za varijante predaje ponude u aplikaciji u kojima korisnik sudjeluje po dostavi nove verzije OU-a. Ukoliko korisnik nije suglasan s novom verzijom OU-a, tada ima pravo od prodavatelja zatražiti ukidanje svoje registracije. U slučaju da korisnik sudjeluje u nekoj od varijanti za predaju ponude nakon dostave nove verzije OU-a, tada se njegovo sudjelovanje od strane prodavatelja smatra bezuvjetnim prihvaćanjem te nove verzije OU-a. 9.6 Ugovorne strane su suglasne da se svi sporovi koji proizlaze iz pravnih odnosa temeljem ili vezano uz OU-e rješavaju pred Općinskim sudom u Sarajevu. 9.7 Potpisom na obrascu zahtjeva za registraciju interesent potvrđuje da je upoznat sa svim uvjetima registracije u aplikaciju te da je važeću verziju OU-a pročitao pozorno i u cijelosti. Potpisivanjem obrasca zahtjeva za registraciju interesent potvrđuje da OU-e razumije u cijelosti, bezuvjetno prihvaća te da će poštivati sve odredbe OU-a. 9.8 korisnici bit će prihvaćeni jedino oni interesenti koji imaju svojstvo obrtnika i pravnog lica. 9.9 Ukoliko je objekat leasinga vlasništvo neke druge zemlje iz grupacije VBL, korisnik da bi mogao dobiti ponudu je obavezan upoznati se i prihvatiti pravila i OU vlasnika. _________________________________________________________________________________________________ General Commercial Terms and Conditions for bidding on used objects financed by VB LEASING SK, spol. s r.o.These General Terms and Conditions for bidding on used objects financed by VB LEASING SK, spol. s r.o. (hereinafter “the VOP”) govern the terms and conditions and the bidding process for individual persons to conclude purchase agreements regarding the purchase and sale of objects originally financed by VB LEASING SK, spol. s r.o., a finance company, and subsequently repossessed from their users due to breaching of the terms and conditions arising from contracts to provide financial services (e.g. finance leases, purpose loans, operative leases, installment sales, etc.); namely through an Internet application on www.vbleasing.sk (hereinafter “the Application”) operated and utilized by VB LEASING SK, spol. s r.o., with its registered office at Nám. 1. Mája 11, 810 00 Bratislava, Comp. No.: 31378528, VAT No.: SK2020303142, incorporated in the Bratislava I District Court Commercial Register, Sec. Sro, Ins. No. c. 7521/B (hereinafter “the Operator”). 1.Registration 1.1.Only those interested persons who have successfully registered in accordance with the provisions of the VOP and followed the individual steps and procedures found in the internet Application may bid, participate in individual formats of expressing and entering a bid and utilize the Application’s service in full. 1.2.A person interested in utilizing the Application in full shall undertake to fill in all fields under the title of “Registration” which are marked as mandatory, namely basic information about the interested person’s business, the person to be authorized, in the interested person’s name, to complete the application and enter bids and the person authorized to act in the interested person’s name, and the interested person shall concurrently undertake in full to obtain an understanding of, and accept, the VOP. By confirming VOP acceptance and clicking on icon "Registration" an interested person presents their definitive intention to become a user of the application. The interested person is responsible for the accuracy of all details entered in the registration form and is likewise responsible for keeping the login name and password he/she chooses confidential and for restricting third persons from access thereto. If there is suspicion that a third person is aware of the user name or password, the Operator must be immediately informed and the password to the Application must be changed by either the interested person or accepted user. In the case of any misuse of the user name or password, the interested person or accepted user shall be held liable at all times. The interested person is obliged to complete registration form, which contains data under this and the previous paragraph and get it signed together with the actual VOP by the person authorized to do act on behalf of the interested person, i.e. on behalf of a new application user accepted by a Operator. Together with a copy of the extract from either the Trade Register or the Commercial Register these documents have to be delivered to the keeper's site not later than before signing a contract of purchase under the statements set in Article 8 of VOP. 1.3.The Operator shall review details the interested person entered in the registration form. The Operator reserves the right, without giving reason, either not to accept any person freely interested in the Application as a user thereof, regardless of the accuracy of details the interested person entered in the registration form, or to be able to lay out exceptional terms and conditions for accepting the interested person. No interested person shall have a legal claim to have his/her application accepted. The Operator shall notify the interested person about the results of its review and prospective acceptance by e-mail. If the interested person is accepted as a new user, he/she may immediately, having been notified thereof, log in with the user name and password he/she selected during registration. Any new user the Operator accepts is hereinafter referred to as “the User”. The User, his/her registration having been accepted, shall be entitled in the Application to choose further login names and passwords up to a number set by the Operator. 1.4.The Operator primarily accepts as a user any business whose activities include, in particular, the purchase and sale of used vehicles and/or technological equipment and machinery, or, where appropriate, the repair of used vehicles and/or technological equipment and machinery. If a user ceases to be licensed in any of the activities constituting its line of business, the User shall inform the Operator thereabout without delay. 1.5.The Operator is entitled to cancel the User’s registration or, when appropriate, to temporarily or indefinitely restrict the User’s right to bid in the event the User breaches his/her discretionary duties under the VOP or the User breaches his/her discretionary duties arising from any purchase agreement concluded in accordance with provisions of Art. 7 and 8 of the VOP, or if the User terminates or suspends any of its business activities, or if the User fails to participate in any of the formats for expressing and entering bids. Such exclusion of a User or any restriction of the User’s rights shall have no effect on any transactions the User has concluded through the Application and any bids he/she has already entered and the User shall furthermore comply with his/her duties according to the VOP. The Operator shall, in addition thereto, reserve the right, with no further justification, to expel the User from any formats for expressing and entering bids still running on the Application. 2.Objects for sale 2.1.Users enter their bids as an expression of their will to conclude purchase agreements regarding the purchase of objects which were originally financed by the Operator and subsequently, due to “total” damage and failure on the side of the insurance company to pay compensation in full or due to a breach of the terms and conditions arising either from contracts to provide financial services (e.g. finance leases, purpose loans, operative leases, installment sales, etc.) or in accordance with provisions of contracts regarding security for obligations concluded in respect of contracts to provide financial services (e.g. pledge agreement, secured title transfer agreement), the Operator seized from its individual clients the right to use such objects, taking possession of the objects. 2.2.The Operator is thereby entitled to resell objects for sale as the owner thereof or by virtue of having exercised its security interest over such objects or by virtue of having exercised the secure transfer of title to such objects. 2.3.The objects for sale may be, in particular, vehicles and mechanical, technological and other equipment. A description of individual objects for sale; their condition; any possible faults, defects and/or damage thereto; place of storage; photographs thereof; financial and pricing terms and conditions and further information, where appropriate, shall be disclosed by the Operator in the Application for a specific object for sale. Photographs, descriptions and estimates disclosed by the Operator in the Application are solely a visual assessment and not a binding source for actually determining the condition or technical description of the object for sale. The only source of information about the actual condition of the object for sale, its markings, features, possible faults and defects and/or any damage thereto and description thereof is exclusively a personal, visual inspection at the place where the object for sale is stored, conducted by the participant therein before bidding on the object for sale. The Operator is not liable for any conclusions participants therein reach on the basis of a visual assessment of the materials and information disclosed in the Application, which might possibly deviate from the actual condition of the object for sale, and therefore the User shall not be entitled to exercise any claims against the Operator, in particular, for indemnification, to withdraw from the purchase agreement, not to pay the purchase price or to demand a reduction in the purchase price of the object for sale. 2.4.The Operator shall allow each participant therein, at his/her own expense, to obtain an understanding of the place where the object for purchase is stored; specifications; all features, technical condition; any possible faults, defects and damage thereto and also the appearance of the object for sale, and to verify information about the object for sale which the Operator has disclosed in the Application. Failure by participants therein to obtain an understanding of the specifications, all features, technical condition, any possible faults, defects and damage thereto, and appearance of the object for sale shall not be grounds for any claims by the participants therein against the Operator for prospective withdrawal from the purchase agreement, not to pay the purchase price or for demanding a reduction in the purchase price of the object for sale. A User bidding in any of the formats for expressing his/her will and any entered bids mean a participant therein accepts in full the specifications; all features; the technical condition; any possible faults, defects and damages thereto and the appearance of the object for sale, in respect whereof the User has bid, and accordingly the User confirms that the description of the object for sale disclosed by the Operator in the Application conforms to its actual condition. 2.5.The facts presented in the preceding paragraphs, and in particular paragraph 2.1., imply that used objects for sale are being sold and therefore the Operator will neither be liable, subsequent to the resale thereof, for any faults or defects in objects for sale nor will it provide any guarantee for any resold objects for sale, and any purchasing participants will buy individual objects for sale as they are. The purchase price of the object for sale ascertained in any of the formats for expressing and entering bids represents the price of the object for sale in the relevant market and takes into account the condition at that moment of the object for sale which the purpose of the agreement actually inheres. 3.Formats for participants to express and enter bids 3.1.The formats whereby users enter their bids in the Application as an expression of their will to conclude a purchase agreement regarding the purchase of objects for sale shall be “Auction”, “Buy Now” and “Open Bid”. 4.Auction 4.1.The Operator, when auctioning the object for sale, accordingly discloses in the Application the auction price of the object for sale, the duration of the auction and the minimum overbid of the purchase price. When any of the users bids for a specific object for sale, the current price for the object for sale will accordingly appear in the Application. 4.2.The User may participate in an auction solely by logging onto the Application and bidding the purchase price. The User is also entitled to bid a purchase price less than the auction price. The User bids the highest purchase price the User is willing to pay for the object for sale at the given moment. The Application operates the “Auction” format on the “auction agent” principle, which means only the user who has bid knows the value of his/her bid; where the User’s current bid of the purchase price will at all times amount to the value of a minimum overbid which is the higher of the highest competing bid entered by another user, and the User’s current bid of the purchase price automatically increases in the event of a higher competing bid until the moment when the User’s current bid of the purchase price is no longer less than or equal to the value of the highest purchase price the User is willing to pay for the specific object for sale at the given moment. 4.3.In the event a bid of the highest purchase price the User is willing to pay for a specific object for sale at the given moment is less than a competing bid of the highest purchase price entered by another user who is willing to pay for the specific object for sale at the given moment, the User, having the lower bid, will be immediately informed thereof either directly on the Application or, when necessary, by electronic mail. 4.4.Any user who has participated in an auction pertaining to a specific object for sale and whom the Operator has called upon to conclude a purchase agreement shall be obliged to conclude the purchase agreement regarding the object for sale. The Operator shall call upon the user whose bid was the highest before the auction ended to conclude the purchase agreement, although provided that the highest bid is at least the auction price of the object for sale. In the event the User with the highest bid breaches his/her duty to conclude a purchase agreement regarding the object for sale, the Operator shall be entitled to call upon any user voluntarily participating in the auction pertaining to the specific object for sale to conclude a purchase agreement, regardless of the amount the user bid, or the Operator may declare the auction to have been unsuccessful. The Operator may also call again upon a user voluntarily participating in the auction pertaining to the specific object for sale, where the Operator’s own right to declare the auction to have been unsuccessful shall not, in any case, be thereby prejudiced. 5.Buy Now 5.1.Buy Now exclusively runs as part of the auction, where the Operator, in such a case, accordingly discloses together with the data shown in paragraph 4.1. of the VOP the price whereat the object for sale can be immediately purchased. 5.2.The User may participate in “Buy Now” solely by logging onto the Application and expressing his/her intention to purchase the object for sale at the price laid down by the Operator, whereat the object for sale can be purchased immediately. The first user to express such an intention terminates both the “Auction” and “Buy Now” formats. The user who is the first to express his/her intent to purchase the object for sale at the price laid down by the Operator, whereat the object for sale can be immediately purchased, shall be obliged to conclude a purchase agreement regarding the object for sale. The Operator shall call upon such a user to conclude the purchase agreement. 5.3.If a user bids in the auction a purchase price greater than the auction price of the object for sale before another user has expressed his/her will in accordance with paragraph 5.2 of the VOP, the “Buy Now” format will end. 6.Open Bid 6.1.The Operator, in the case of an Open Bid of the object for sale, accordingly discloses in the Application the auction price of the object for sale, the duration wherein bids may be entered and the minimum overbid of the purchase price. Both the disclosed auction price and the minimum overbid of the purchase price are strictly the values the Operator recommends to users. 6.2.The User may participate in an Open Bid solely by logging onto the Application and bidding the purchase price whereat he/she is willing to purchase the object for sale. The User is also entitled to bid a purchase price less than the auction price. 6.3.Any user who has participated in an “Open Bid” pertaining to a specific object for sale and whom the Operator has called upon to conclude a purchase agreement shall be obliged to conclude the purchase agreement regarding the object for sale. The Operator shall be entitled to call upon any user voluntarily participating in the “Open Bid” pertaining to the specific object for sale to conclude a purchase agreement, regardless of the amount the user bid, or the Operator may declare the “Open Bid” to have been unsuccessful. The Operator may also call again upon a user voluntarily participating in the “Open Bid” pertaining to the specific object for sale, where the Operator’s right to declare the “Open Bid” to have been unsuccessful shall not, in any case, be thereby prejudiced. 7.Contract on a future purchase agreement 7.1.The User, whom the Operator has called upon to conclude a purchase agreement regarding the purchase and sale of the object for sale, in accordance with provisions of Articles 4-6 of the VOP, shall conclude either with the Operator or a person or entity licensed to resell the object for sale, as Seller, a written purchase agreement, whose contents are set forth in Art. 8 of the VOP, within five (5) days from the delivery of a written notice by the Operator calling on the concluding thereof. The delivery to the User of a proposal for such a purchase agreement shall also be regarded as a written notice by the Operator to conclude a purchase agreement. 7.2.In the case of any delay by the user in concluding a purchase agreement in accordance with paragraph 7.1. of the VOP, the Operator may exercise against the User a contractual penalty amounting to 330.00 € for each day in delay. The Operator’s right to seek indemnification from the User for breach of his/her duty to conclude a purchase agreement shall not be prejudiced by either the exercise or payment of the contractual penalty. 7.3.The User’s duty to conclude a purchase agreement shall be extinguished in the event a written lease is concluded with the Operator during the period for concluding a purchase agreement under paragraph 7.1. of the VOP, where the initial price of the object for sale is identical to the purchase price under paragraph 8.4. of the VOP, and if, in the same period, the first installment (including an increased payment of the principal and the first regular installment) is paid in full; the object for sale is assumed by the User in a documented transfer and a Leased Item Transfer Document, attached to a lease whose text has been laid down by the Operator and which has been duly signed by the User and the person or entity handing over the object for sale, is delivered to the Operator. The Operator shall, in no case however, be obliged to conclude a lease with the User. 8.Contents of the purchase agreement 8.1.A written purchase agreement which either the Operator, as Seller, or a person or entity licensed to resell the object for sale concludes with the User, as Buyer, regarding the sale and purchase of the object for sale, with respect whereto the User bid in accordance with provisions of Articles 4-6 of the VOP, shall contain the arrangements and facts derived from the following paragraphs of this Article. 8.2.The purpose of the purchase and sale will be the object for sale, with respect whereto the User bid in accordance with provisions of Article 4-6 of the VOP, where the purchase agreement will include a detailed specification of the object for sale. 8.3.The Operator declares that it is licensed to resell the object for sale and also indicates, when appropriate, the legal title whereon it acts. 8.4.The purchase price of the object for sale, exclusive of VAT, will equal the User’s (Buyer’s) bid of the purchase price ascertained in any of the formats for users to enter bids as expressions of their will to conclude purchase agreements in accordance with provisions of Art. 3-6 of the VOP. The purchase price shall be paid by the User (Buyer) no later than three (3) working days from the signing of the purchase agreement. The purchase price shall be regarded as being paid on the date when it is credited in full to the Operator’s bank account. 8.5.The object for sale shall be handed over and assumed, immediately upon payment in full by the User (Buyer) of the purchase price, at the place of supply, which is the place the Operator shows in the Application under the specific object for sale as the place where the object for sale is currently being stored. In the event the User (Buyer) demands the object for sale be supplied in another place, the User shall secure the shipment of the object for sale to the place of supply he/she has chosen and cover any costs connected with the shipment and insurance thereof. In the event the Buyer’s registered office, place of business or permanent address is outside the territory of the Slovak Republic, the Buyer shall carry out all acts related to the sale of the object for sale outside the territory of the Slovak Republic (in particular, any possible customs-related and similar proceedings) on the Buyer’s own account. 8.6.The User (Buyer) declares that he/she has obtained an understanding of the technical state of the object for sale and of all faults and defects thereon, that the User is accordingly aware of the fact that the purchase price takes the current condition of the object for sale into account, and therefore the User (Buyer) purchases the object for sale as it is, and the Operator neither is liable for any faults or defects thereon nor provides any guarantee of its quality. 8.7.The User (Buyer) acquires title to the object for sale once he/she has credited the purchase price in full to the Operator’s account. Any risk of damage to the object for sale shall pass to the User (Buyer) when the User assumes the object for sale. 8.8.The Contracting Parties have agreed that any disputes which arise between them from the legal relationships based on the purchase agreement or any relationships related to the purchase agreement shall be submitted for settlement to an arbitrator at the Bratislava Court of Arbitration, with its registered office in Bratislava at Ventúrska 14 (whose formation is published in Commercial Bulletin No. 89/2005). The Contracting Parties have expressly agreed to waive the examination or cancellation of any arbitration award issued pursuant to § 40 letter h) of Act No. 244/2002 Coll. on Arbitration. The arbitrator will arbitrate in proceedings in accordance with Act No. 244/2002 Coll. on Arbitration, other legislation in force in the Slovak Republic and the Rules of Procedure and Fees of the Bratislava Court of Arbitration, which are published in Commercial Bulletin No. 89/2005 (p. 187 et seq.), at the registered office of the Bratislava Court of Arbitration and disclosed on their Internet website http://www.rsvb.sk. 8.9.The Contracting Parties, in accordance with provisions of § 262 of the Commercial Code, have agreed that any contractual relationship established by the purchase agreement shall be governed by the Commercial Code. In the event an entity whose registered office, place of business or permanent address is outside the territory of the Slovak Republic is the Buyer, the purchase agreement will remain governed by Slovak law. 9.Closing Provisions 9.1.Any legal relationships between the Operator and the interested person or the User not expressly addressed in the VOP are governed by relevant provisions of Slovak law, and in particular the Commercial Code. The same also applies, in accordance with provisions of § 262 of the Commercial Code in cases where neither the interested person nor the User is the person operating the business. 9.2.The User shall immediately notify the Operator in writing of any change in his/her permanent address, place of business or registered office, telephone number, fax number, e-mail address or any and all other data about his/her business which the Operator presents in the Registration Form, except for any change in the access password. Failure to comply with any of the above duties shall entitle the Operator to demand payment of a contractual penalty amounting to 331.50 €. Any invalidation of individual provisions of the VOP does not render the entire VOP invalid. 9.3.An interested person, as well as the User, agrees to allow the Operator to provide any and all information which has been provided, in respect of registration, to Motrada Handels GmbH, with its registered office at Mariahilfer Straße 82, 1070 Vienna, as the Application’s supplier and service manager, as well as the company which owns the Application and is either personally connected with the Operator or the Operator’s shareholder. 9.4.Any and all written correspondence and e-mail messages to be sent by the Operator on the basis of, or in connection with, this VOP shall be sent by the Operator to the address or e-mail address of the interested person/User shown in the Registration Form or to the address which the interested person/User has indicated to the Operator in writing. Any written correspondence sent other than by electronic mail shall be regarded as having been delivered on the date when it is accepted by the interested person/User or on the date when the post office returns the written correspondence to the Operator because it was either not accepted by the interested person/User within the period for accepting it or because the interested person/User neither was residing nor had its business at the address shown on the posted written correspondence. Any action resulting from the delivery of written correspondence shall also come into effect if the interested person/User refuses to accept written correspondence. Written correspondence and e-mail messages sent electronically shall be regarded as having been delivered at the moment when they are sent either to the e-mail address of the interested person/User shown on the Registration form or to the e-mail address the interested person/User indicated in writing to the Operator. 9.5.The Contracting Parties have agreed that the Operator shall be entitled at any time to amend the VOP, where the amended text becomes binding upon the User at the moment when the amended VOP is delivered to the User either electronically or through the post. The amended VOP is binding for the bidding formats in the Application wherein the User participates after the amended VOP has been delivered. In the event the User does not consent to the amended VOP, he/she shall be entitled to ask the Operator to have his/her registration cancelled in full. The User’s participation in a voluntary bidding format, once the amended VOP has been delivered, shall be regarded as having accepted the amended VOP without any reservations. 9.6.The Contracting Parties have agreed that any disputes which arise between them from the legal relationships based on the VOP or any relationships related to the VOP may be submitted for settlement to an arbitrator at the Bratislava Court of Arbitration, with its registered office in Bratislava at Ventúrska 14 (whose formation is published in Commercial Bulletin No. 89/2005). The Contracting Parties have expressly agreed to waive the examination or cancellation of any arbitration award issued pursuant to § 40 letter h) of Act No. 244/2002 Coll. on Arbitration. The arbitrator will arbitrate in proceedings in accordance with Act No. 244/2002 Coll. on Arbitration, other legislation in force in the Slovak Republic and the Rules of Procedure and Fees of the Bratislava Court of Arbitration, which are published in Commercial Bulletin No. 89/2005 (p. 187 et seq.), at the registered office of the Bratislava Court of Arbitration and disclosed on their Internet website http://www.rsvb.sk. In the case of any disputes which arise between the Contracting Parties from the legal relationships based on the VOP or relationships related to the VOP, the VOP in the Slovak language will be decisive in any decision rendered by the relevant court. 9.7.In the event any of the objects for sale are owned by somebody other than the Operator, the User shall obtain an understanding, before bidding, of the auction rules, General Commercial Terms and Conditions and any similar documents specified by the owner of the object for sale. The User’s voluntary participation in bidding for an object for sale which is not owned by the Operator shall be regarded as having accepted the rules of the auction, General Commercial Terms and Conditions and other similar documents specified by the owner of the object for sale on the side of the User, without any reservations. 9.8.By confirming VOP acceptance and clicking on icon “Registration” during the registration process, under VOP Paragraph 1.2. and possibly also by the followed receipt of undersigned documents under VOP Paragraph No. 1.2. an interested person confirms that he/she has been properly acquainted with all the terms and conditions for being registered in the Application and that the interested person has read the VOP in full.
